keyTango will reserve the right to conduct KYC. Any Excluded Person or any person located in the Excluded Territory will not be be entitled to claim token from keyTango. Definitions of Excluded Territory and Excluded Person“Excluded Territory” means, collectively, China, the United States, and UNSC-sanctioned Countries (each as defined below).“China” means the People’s Republic of China, its territories and possessions (but not including the Hong Kong Special Administrative Region, the Macau Special Administrative Region or Taiwan).“United States” means the United States of America, its territories and possessions.“UNSC-sanctioned Countries” means countries subject to United Nations Security Council sanctions.“Excluded Person” means a person or entity as identified that is one or more of a China Person, a U.S. Person, a UNSC-sanctioned Country Person or a Sanctioned Person (each as defined below).“China Person” means (a) a natural person who is a citizen or permanent resident of, or has a primary residence in, or is physically located in, China or (b) an entity that is organized or incorporated under the laws of, is a resident for tax purposes of, has a domicile in, or is physically located in or otherwise subject to the jurisdiction of, China."U.S. Person" means: (a) Any natural person resident in the United States;(b) Any partnership or corporation organized or incorporated under the laws of the United States;(c) Any estate of which any executor or administrator is a U.S. person;(d) Any trust of which any trustee is a U.S. person;(e) Any agency or branch of a foreign entity located in the United States;(f) Any non-discretionary account or similar account (other than an estate or trust) held by a dealer or other fiduciary for the benefit or account of a U.S. person;(g) Any discretionary account or similar account (other than an estate or trust) held by a dealer or other fiduciary organized, incorporated, or (if an individual) resident in the United States; and(h) Any partnership or corporation if:(i) Organized or incorporated under the laws of any foreign jurisdiction; and(ii) Formed by a U.S. person principally for the purpose of investing in securities not registered under the U.S. Securities Act, unless it is organized or incorporated, and owned, by accredited investors (as defined in Rule 501 of Regulation D under the U.S. Securities Act) who are not natural persons, estates or trusts.“UNSC-sanctioned Country Person” means (a) a natural person who is a citizen or permanent resident of, has a primary residence in, or is physically located in, a UNSC-sanctioned Country or (b) an entity that is organized or incorporated under the laws of, is a resident for tax purposes of, has a domicile in or is physically located in, or otherwise subject to the jurisdiction of, a UNSC-sanctioned Country.“Sanctioned Person” means any natural person or entity subject to one or more of the following sanction regimes: (a) United Nations Security Council sanctions, (b) the Specially Designated Nationals and Blocked Persons List published by the Office of Foreign Assets Control of the U.S. Treasury Department, (c) the Consolidated List of Targets maintained by the U.K. Office of Financial Sanctions Implementation of HM Treasury, (d) the consolidated list of persons, groups, and entities subject to financial sanctions maintained by the European Union or any other jurisdiction. * *
