Before proceeding, please review the following.
I hereby grant to Imaginative (“Producer”) the right to take motion and still pictures of me and record my voice (collectively, the “Footage and Materials”), and to use the Footage and Materials in and in connection certain audio visual content created by or on behalf of Producer. The Footage and Materials may be exploited throughout the universe at any time, in perpetuity, in any and all media now known and hereafter devised, without any compensation to me whatsoever.

I represent and warrant that I am the sole owner and/or author of the Footage and Materials and that I have the full right and authorization to submit the Footage and Materials (and all elements thereof) to the Companies, free of any obligation to any third party.  I will indemnify the Producer from and against any and all claims, expenses, losses or liabilities (including attorneys’ fees) that may be asserted against the Producer or incurred by any of them, at any time, in connection with the Footage and Materials or any use thereof, arising from any breach or alleged breach of these warranties.

To the maximum extent permitted by law, I hereby release Producer from any and all claims  (including, but not limited to, personal injury, rights of privacy and publicity, defamation, or false light) that in any way are caused by, arise out of or result from this Agreement, my appearance in the Footage and Materials or the Program.  I further release Producer from residual and/or guild reuse rights I may have based on the use of the Footage and Materials, my likeness, or related clips in which I appear in the Program.

I know Producer will incur significant costs and expenses in reliance upon this Agreement, so I will not attempt to cancel it or to revoke any of the rights granted to Producer, nor attempt to restrain, enjoin or otherwise impair the development, production, exhibition and/or exploitation of the Program or any advertising, publicity or promotion in connection therewith.

The parties agree that if any controversy or claim arising out of or relating to this Agreement cannot be settled through direct discussions, they shall endeavor first to settle the controversy or claim by a mediation administered by JAMS under its applicable rules.  The parties also agree that the remedy for any claim brought pursuant to this Agreement shall be limited to actual damages, and in no event shall any party be entitled to recover punitive or exemplary damages or to rescind this Agreement or seek injunctive or any other equitable relief.  

As used herein, “Producer” shall include Producer, its licensees, successors and assigns, and each of their respective parents, subsidiaries, and affiliates, and each of their respective officers, directors, shareholders, employees, agents, and representatives.
