THIS FITNESS AGREEMENT (this "Agreement") is entered into between Brooks Street Gym, LLC, a Wisconsin limited liability company ("BSG") and the "User".
A. BSG operates a fitness center at 306 N Brooks St in Madison, Wisconsin (the "Fitness Center") for the exclusive use of authorized tenants who reside at Grand Central and X01.
B. User is a tenant of Grand Central or X01 and desires to use the Fitness Center. In exchange for the use of the Fitness Center, User agrees to be bound by this Agreement.

NOW THEREFORE, the parties agree as follows:

1. BSG authorizes User to use Fitness Center, subject to terms and conditions of this Agreement.
2. BSG shall have the right to enforce reasonable rules and regulations governing use of the Fitness Center, including those attached hereto as Exhibit A and any additional rules posted within the Fitness Center, which may be amended from time to time by BSG. User agrees to abide by all such rules and regulations.
3. User shall be responsible for for the cost to repair any damages to the Fitness Center or any equipment located within the Fitness Center caused by User.
4. This Agreement provides User only with a revocable, non-exclusive license to use the Fitness Center on the terms and conditions herein. The parties acknowledge and agree that this Agreement shall not be deemed to constitute, nor shall it be construed as, a lease agreement for real property.
5. User hereby agrees that use of the Fitness Center, including but not limited to, any exercise equipment and free weights are at the sole risk of the User. User hereby represents that they are familiar with the use of fitness equipment and that they are in good health satisfactory for use of the facility and its equipment. BSG and its agents and employees shall not be liable for any health problems arising out of, or in connection with, entrance into or use of the Fitness Center and agrees to indemnify and hold BSG, its agents and employees harmless from any breach of the above obligations by User.


EXHIBIT A

BROOKS STREET GYM, LLC RULES AND REGULATIONS

1. The Fitness Center is for AUTHORIZED TENANTS of Grand Central and X01, only. "Authorized" means these persons who are legal residents of either Grand Central or X01 and have executed a User Agreement.

2. No one under the age of 18 may use the Fitness Center unless accompanied by a parent and with written approval of the manager of the Fitness Center.

3. All persons using the Fitness Center do so under the consent of their medical provider, and with the understanding that they are in satisfactory health for use of the facility.

5. Abuse of the facilities or equipment is prohibited.

6. Appropriate clothing and footwear is required in all areas of the Fitness Center.

7. Fitness Center hours of operation will be posted by management.

8. All persons using the Fitness Center are responsible for all articles of clothing and other possessions they may bring into the Fitness Center. Management will not be responsible for articles left in any areas of the Fitness Center.

9. Appropriate behavior is required and expected at all times during use of the Fitness Center. Any person in violation of routine and expected appropriate behavior will be subject to revocation of Fitness Center privileges.

10. Please wipe off each piece of equipment after use.

11. No food is allowed in the Fitness Center.

12. No alcohol or drugs of any kind are permitted within the Fitness Center.
