COMMUNITY VOTING (one vote per house): Harting Farm ByLaws Indemnification Amendment 
As our October elections approach and the current board of directors wraps up, we are requesting your vote to amend our ByLaws with indemnification language to protect future board members. The new language will provide legal protections for board members who are acting within the confines of the law and in the best interest of the community. It will NOT help to protect a board member engaged in malicious or unlawful conduct

Why? 
  • The ByLaws Currently do not contain indemnification language and are outdated overall. They were created in 1993 when the community was still under construction and were drafted by the original board of directors, including the builder. They have only been updated twice since: later in 1993 and in 1995. (For perspective, our ByLaws predate widespread use of the Internet and are older than Google and even Internet Explorer.) 

  • Maryland law offers legal protections for board members but our lawyer has recommended adding a clear indemnification clause to our ByLaws for better protection.  The current board thinks it is important to do this before the October elections, to provide the maximum protections available to all future board members (volunteers that our entire community depends upon). 
  • The board will continue the broad-scope review of the ByLaws currently in process to propose modern language and clarity, but this is a very involved process, which will continue into the next election term.
