For good consideration and as an inducement of Special Tactics And Response, Incorporated, hereafter known as the Employer, to employ the below listed, hereafter known as the Employee, whose signature appears below, hereby agrees and acknowledges to all condition of the following agreement:
1. During the course of the Employee’s employment by the Employer, there may be disclosed to the Employee certain trade secrets and/or other confidential information of the Employer, which may include, but are not necessarily limited to:
A) Technical information: Methods, processes, formulae, compositions, systems, techniques, inventions, machines, computer programs and research projects.
B) Business information: Customer lists, pricing data, sources of supply, financial data and marketing, production, or merchandising systems or plans.
2. At no time during the Employee’s employment by the Employer or at any time after separation or termination of the Employee’s employment with the Employer, the Employee agrees to not use for himself/herself or others, or disclose or divulge to others, including future employers, any trade secrets, confidential information, or any other proprietary data of the Employer in violation of this agreement.
3. Upon the separation or termination of the Employee’s employment with the Employer:
A) The Employee shall return to the Employer all documents and property of the Employer, including but not necessarily limited to: drawings, blueprints, reports, manuals, correspondence, customer lists, computer programs, and all other materials and all copies, notes or abstracts thereof relating in any way to the Employer's business, or in any way obtained by the Employee during the course of employment.
B) The Employer may notify any future or prospective employer of the Employee or any third party of the existence of this agreement, and shall be entitled to full injunctive relief for any breach.
C) The Employee agrees to not compete, either directly or indirectly, with the business of the Employer at any time during the Employee’s period of employment with the Employer and for a period of one (1) year following the Employee’s separation or termination of employment from the Employer, notwithstanding the cause or reason for the separation or termination.
