1. In consideration of our disclosure to You of information relating to our intellectual property and business and other information (whether or not contained in documents) and explanations relating to this (Information), for the purposes of You seeking employment from Us, You undertake to respect and preserve the confidentiality of said Information. Accordingly, for a period of five years after the date of such disclosure, you shall not, without our prior written consent, either: a) communicate or otherwise make available the Information to any third party; or b) use the Information for any purpose other than for determining whether or not to seek employment from us.

  2. The obligations in paragraph 1 shall not apply, or shall cease to apply, to such Information that you can show to our reasonable satisfaction: a) has become public knowledge other than through any fault of yours; or b) was already known to you prior to disclosure by us; or c) has been received by you from a third party who did not acquire it in confidence from us or from someone owing a duty of confidence to us.

3. This letter shall be governed by and construed in accordance with the laws of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
