THE WALLOON LAKE TRUST AND CONSERVANCY

The undersigned member of the Walloon Lake Association hereby appoints Lauren Macintyre, WLA President and Bob Saddler, Secretary and each of them, attorneys for the undersigned, to vote as proxy in the name of the undersigned with full power of substitution, at a special meeting of members of the Walloon Lake Association to be held at the Talcott in Walloon Lake Village, Michigan on Friday, May 10, 2019, at 3:00 PM, and any adjournments thereof, with all power which the undersigned would possess if personally present with respect to the following proposition:

A. Merger Approval.

RESOLVED, that the merger of the Corporation, with and into the Walloon Lake Trust and Conservancy, a Michigan nonprofit corporation, with the surviving entity to be known as the Walloon Lake Association and Conservancy be approved and adopted.
