VOLUNTEER AGREEMENT
(PLEASE READ CAREFULLY AND INCLUDE YOUR NAME BELOW)*
THIS VOLUNTEER AGREEMENT (the “Agreement") is made and entered into as of the Effective Date, by and between BETHEL MUSIC, a division of BETHEL CHURCH OF REDDING (hereinafter “Bethel Music”), and the undersigned (hereinafter “Volunteer”).

TERMS OF AGREEMENT VOLUNTEER’S SERVICES. Volunteer shall render the services described in Exhibit A, which is incorporated herein by reference (hereinafter the “Services”). In rendering the Services, Volunteer shall comply with all of Bethel Music’s reasonable requests, an@d shall use Volunteer’s best efforts. Volunteer further agrees to comply with Bethel Music’s schedule.
RELEASES AND WAIVERS. Volunteer hereby grants Bethel Music the right, directly and indirectly, to film, photograph, and otherwise record Volunteer in connection with this Agreement, and to own, use, exploit, and edit in any manner in any and all media now known or hereafter devised, Volunteer’s image, dialog, voice, appearance, performance and any other material created in the course of volunteering and/or otherwise associated with this Agreement, regardless of the location or time such activity takes place.
CONFIDENTIALITY. Volunteer shall maintain as confidential all materials furnished to or received by Volunteer in relation to this Agreement, including, but not limited to, recordings, sheet music, financial information and any other confidential matter.
CONSIDERATION. Volunteer’s sole consideration for this Agreement is participation in the activity authorized by Bethel Music. Bethel Music may, but shall not be obligated to, give name credit to Volunteer in any materials derived from the Services. Volunteer shall not be entitled to any compensation or other consideration, regardless of the manner, time, format, use (or non-use) or other exploitation of materials derived from Volunteer’s Services.
OWNERSHIP OF MATERIALS DEVELOPED HEREUNDER. All materials made, furnished or created hereunder (including all duplicates and derivatives thereof) shall, from their inception, be exclusively and perpetually and throughout the universe, Bethel Music’s property, free of any claim whatsoever by Volunteer or any person deriving any rights from Volunteer. All materials developed hereunder shall be deemed “works made for hire” within the meaning of the U.S. Copyright Act, and Bethel Music shall be deemed the author thereof. If, for any reason, the materials or any of them shall be adjudged not to be “works made for hire,” then Volunteer hereby irrevocably assigns all rights of Volunteer in such materials including without limitation, all copyrights and all renewals and extensions thereof, throughout the universe, to Bethel Music. Bethel Music shall have the sole, exclusive and unlimited rights throughout the universe to the materials. The rights granted to us herein expressly include all so-called “electronic rights,” including, but not limited to, digital transmissions, webcasts, streaming, digital downloads, and all other right by any other means, whether now known or known hereafter. In the event a court of competent jurisdiction determines that Volunteer has retained any rights in or to the materials, then Volunteer hereby assign any such rights to Bethel Music; and this agreement shall constitute a document of transfer.
INDEMNIFICATION. Volunteer shall at all times indemnify, defend and hold Bethel Music harmless from and against any and all claims, damages, losses, costs, liabilities and expenses, including attorney fees, arising out of or caused by the Services and/or any materials resulting from the services. Any costs incurred by Bethel Music in connection therewith shall be promptly reimbursed by Volunteer upon demand, and if Volunteer fails to so reimburse Bethel Music, Bethel Music shall be entitled to recover its attorney fees incurred in collecting same from Volunteer.
RELATIONSHIP OF PARTIES. The parties understand and agree that they are independently contracting parties. Nothing contained in this Agreement shall constitute a partnership between or joint venture of the parties hereto, or constitute or empower either party as the agent of the other. Neither party shall hold itself out contrary to the terms of this section, and neither party shall be or become liable by reason of any representation, act or omission of the other contrary to the provisions of this Agreement.
WAIVER AND ASSIGNMENT. No waiver by either party of any breach of this Agreement shall be deemed a waiver of any preceding, continuing or succeeding breach of the same, or any other item of this Agreement. Bethel Music may assign any of its rights and/or delegate any of its obligations hereunder. Volunteer shall not assign any of its rights and/or delegate any of its obligations hereunder without Bethel Music’s prior written consent; and any attempt by Volunteer to do so shall be null and void. This Agreement shall be binding upon and inure to the benefit of the parties hereto and each of their respective successors and assigns.
GOVERNING LAW AND VENUE; ATTORNEY FEES. This Agreement shall be governed by and construed in accordance with the laws of the State of California. The exclusive venue of any mediation, action or other proceeding arising out of this Agreement shall be Shasta County, California, and the prevailing party in any dispute or proceeding arising out of this Agreement shall be entitled to recover its reasonable attorney fees.
ENTIRE AGREEMENT. This Agreement is intended by the parties hereto as a final expression of their agreement and understanding with respect to the subject matter hereof and as a complete and exclusive statement of the terms thereof and supersedes any and all prior and contemporaneous agreements and understandings related thereto. No modification of this Agreement shall be valid or binding unless in writing and executed by all parties to this Agreement. This Agreement may be executed simultaneously in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.This release shall continue indefinitely, unless otherwise specified by BETHEL MUSIC.
