ARTICLE VI CODE OF CONDUCT
Section 6.01. Compliances with this Code of Ethics is a prerequisite to continuing membership in the Company and participation in its governance.
Section 6.02. In their individual business affairs and in relation to their activities on behalf of the Company, Members, those individuals who voting representatives of Members, and persons serving on the Executive Committee shall:
(a) Abide by this Operating Agreement, including this Code of Conduct, any other rules of the Company, and all applicable laws and regulations.
(b) Conduct themselves in accordance with generally accepted standards of fair and honest business conduct.
(c) Practice honesty and integrity in dealings with the public, museums, artists and other art businesses.
(d) Pledge that they are professional and responsible dealers and assume complete responsibility for the authenticity of the works their business sells.
(e) Be experienced and knowledgeable in the types of art they offer for sale, so that purchasers may buy from Company members with confidence and good faith.
(f) Not to misrepresent any of the artwork offered or artists represented by their business.
(g) Abide by fair trade practices and truth in advertising.
(h) Avoid spurious or deceptive marketing techniques such as inflating the value of merchandise in order to offer illusory discounts and thereby attempting to convey the false impression that the buyer or prospective buyer is receiving a bargain.
(i) When engaged in a promotional sales and/or auction held, such activity must be bona fide, presented in an ethical and honest manner and meet applicable regulations and ordinances.
(j) The constant use of sales as a consistent marketing promotion will be in violation of this Code of Conduct.
