Terms and Conditions
Access to Wi-Fi will be provided at WillCon. Cellular Service is reliable at the South Side Mall but only through the carriers: Verizon and Appalachian Wireless.
Vendors will be responsible for obtaining any licenses, permits, or approvals required under local, state, and federal laws applicable to their activities at WillCon. Vendors will be responsible for obtaining any tax identification numbers and paying all taxes, license fees, and any charges that will come due to any governmental authority in connection with their activity at WillCon.
Vendor is required to NOT sell, or have for sale, illegitimate merchandise, PERIOD. WillCon reserves the right to ask for the removal of any merchandise that is deemed illegitimate by international, federal, state and local laws. Failure to adhere to this can be grounds for ejection from the convention without refund.
WillCon reserves the right to refuse to rent booth space to Vendors minimally 7 days before 12/20/24. Vendors that are refused will be notified and entitled to a full refund.
WillCon reserves the right to refuse the sale of booth space to any Vendor for any reason deemed appropriate by WillCon. Notification of such refusal will be available in writing.
WillCon reserves the right to re-arrange space and locations of Vendor booths as necessary.
Vendor expressly assumes all risks associated with, resulting from or arising in connection with Vendor's participation or presence at the Event, including, without limitation, all risks of theft, loss, harm, damage or injury to the person (including death), property, business or profits of Vendor, whether caused by negligence, intentional act, accident, act of God or otherwise.
Vendor has sole responsibility for its property or any theft, damage or other loss to such property (whether or not stored in any courtesy storage area, including without limitation any subrogation claims by its insurer). Neither WillCon nor The Southside Mall accepts responsibility, nor is a bailment created, for property delivered by or to Vendor.
UNDER NO CIRCUMSTANCES SHALL WILLCON OR THE SOUTHSIDE MALL BE LIABLE FOR ANY LOST PROFITS OR ANY INCIDENTAL, SPECIAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES WHATSOEVER FOR ANY OF THE ACTS OR OMISSIONS WHETHER OR NOT APPRAISED OF THE POSSIBILITY OF ANY SUCH LOST PROFITS OR DAMAGES. IN NO EVENT SHALL WILLCON'S MAXIMUM LIABILITY UNDER ANY CIRCUMSTANCE EXCEED THE AMOUNT ACTUALLY PAID TO WILLCON BY VENDOR FOR EXHIBIT SPACE RENTAL PURSUANT TO THIS CONTRACT.
WillCon makes no representations or warranties, express or implied, regarding the number of persons who will attend the Event or regarding any other matters.
If WillCon cancels the Event due to circumstances beyond the reasonable control of WillCon (such as acts of God, acts of war, governmental emergency, or unavailability of The Southside Mall) Willcon shall refund to each Vendor its exhibit space rental payment previously paid, minus a share of costs and expenses incurred, in full satisfaction of WillCon's liabilities to Vendor. WillCon reserves the right to cancel, re-name or re-locate the Event or change the dates on which it is held.
If WillCon changes the name of the Event, relocates the Event to another event facility within the same city or changes the dates for the Event to dates that are not more than thirty (30) days earlier or thirty (30) days later than the dates on which the Event originally was scheduled to be held, no refund will be due to Vendor; provided however, WillCon shall assign use of such space to Vendor pursuant to the terms of this contract. If WillCon elects to cancel the Event other than for reasons previously described in this paragraph, WillCon shall refund to each Vendor its entire exhibit space rental payment previously paid, in full satisfaction of any and all liabilities on the part of the WillCon to Vendor.
Vendor expressly grants WillCon a non-exclusive license to use, display and reproduce the name, trade names and product names of Vendor in any directory (print, electronic or other media) listing the exhibiting companies at the Event and to use such names in WillCon promotional materials. WillCon shall not be liable for any errors in any listing or descriptions or for omitting any Vendor from the directory or other lists or materials. Vendor agrees that WillCon may also take photographs or Vendor's booth space, exhibit and personnel during, before or after the open hours of the Event and use such photographs for any WillCon promotional purpose.
Vendor shall promptly pay for any and all damages to The Southside Mall or associated facilities, booth equipment or the property of others caused by Vendor.
Vendors are specifically prohibited from employing any carnival-type attraction, animal or human, or from operating such noise-creating devices as bells, horns or megaphones.
Vendors, who cancel exhibit space more than 30 days prior to the opening day of the Event, will be refunded total due.
There will be no refunds for cancellations made less than 14 days prior to the opening day of the Event. Exhibitor and its representatives shall at all times wear badge identification furnished by WillCon. WillCon may at any time limit the number of representatives in an exhibit space. Exhibitor must staff assigned exhibit space during all hours the show is open, as well as during setup and teardown.
WillCon is a Family Friendly event. Exhibits will be limited to those companies or other entities offering materials, products, or services of specific interest to registrants. WillCon reserves the right to determine the eligibility of any product for display. Vendor agrees not to sell or distribute any adult material to minors.
WillCon reserves the right to determine whether the character and/or attire of Exhibitor and its personnel are acceptable for attendees.
Any matters not specifically covered by the preceding rules shall be subject solely to the decision of WillCon.
WillCon shall have full power in the matter of interpretation, amendment, and enforcement of all said rules and regulations.
