PTO Executive Board Application
The purpose of the Howard Academy PTO is to enhance and support the educational experience at Howard Academy, to develop a closer connection between school and home by encouraging parent involvement, and to improve the environment at Howard Academy through volunteer and financial support.

The Howard Academy PTO mission shall be to develop young leaders with a mastery in the english language and provide a more globalized education experience.

The Executive Board shall consist of the following officers: President, Vice President, Recording Secretary, Communications Secretary, and Treasurer.  Officer positions can be shared. The school Director, or his/her designee, and the Operations Manager, or his/her designee, are voting members of the Executive Board to have an uneven count (7 members).

The term of office for all officers is one year, beginning March 1 and ending February 28 (or February 29 on leap year) of the following year.

Any PTO member in good financial standing may become an officer or member of the Executive Board of the PTO. Each officer shall be elected by secret majority vote of PTO members. For the 2019 school year, the Howard Academy administrative staff will vote on the first PTO Executive Board Members.

ARTICLE I: NAME, DESCRIPTION, AND PURPOSE
Section 1: NAME
The name of the organization shall be Howard Academy PTO. The PTO is located at Howard Academy building #42, Panama Pacifico.

Section 2: DESCRIPTION
The Howard Academy PTO will operate as a nonprofit organization that exists for charitable, educational, and scientific purposes.

Section 3: PURPOSE
The purpose of the PTO is to enhance and support the educational experience at Howard Academy, to develop a closer connection between school and home by encouraging parent involvement, and to improve the environment at Howard Academy through volunteer and financial support.

The Howard Academy PTO mission shall be to develop young leaders with a mastery in the english language and provide a more globalized education experience.

ARTICLE II: MEMBERSHIP
Membership shall be automatically granted to all parents and guardians of Howard Academy students, plus all staff at Howard Academy. There are no membership dues. Members have voting privileges, one vote per household.

ARTICLE III: OFFICERS
Section 1: EXECUTIVE BOARD
The Executive Board shall consist of the following officers: President, Vice President, Recording Secretary, Communications Secretary, and Treasurer. Officer positions can be shared. The school Director, or his/her designee, and the Operations Manager, or his/her designee, are voting members of the Executive Board.

Section 2: TERM OF OFFICE
The term of office for all officers is one year, beginning March 1 and ending February 28 (or February 29th on leap year) of the following year.

Section 3: QUALIFICATIONS
Any PTO member in good financial standing may become an officer or member of the Executive Board of the PTO. Each officer shall be elected by secret majority vote of PTO members.

Section 4: DUTIES
Executive Board: Develop the PTO’s annual budget, establish and oversee committees to conduct the work of the PTO, establish fundraising programs, and approve by majority vote of the Board unbudgeted expenditures of no more than $100.

President: Preside at general PTO meetings and Executive Board meetings, serve as the official representative of the PTO, and retain all official records of the PTO.

Vice President: Oversee the committee system of the PTO, assist the President, and carry out general meetings in the absence of the President.

Recording Secretary: Record and distribute minutes of all Executive Board meetings and all general PTO meetings, prepare agendas for official PTO meetings, and hold historical records for the PTO.

Communications Secretary: Manage communications and marketing for the PTO, including but not limited to PTO newsletters, email broadcasts, website, bulletin boards, etc.

Treasurer: Serve as custodian of the PTO’s finances, collect revenue, pay authorized expenses, follow all financial policies of the PTO, and hold all financial records.

Section 5: BOARD MEETINGS
The Executive Board shall meet monthly during the school year, or at the discretion of the President.

Section 6: RESIGNATION
Resignation from an executive board position must be in writing and received by the President or Recording Secretary with at least one week notice.

Section 7: REMOVAL
An officer can be removed from office for failure to fulfill his/her duties, after reasonable notice, by a majority vote of the Executive Board.

Section 8: VACANCY
If a vacancy occurs on the Executive Board, the President shall appoint a PTO member to fill the vacancy for the remainder of the officer’s term.

ARTICLE IV: COMMITTEE POSITIONS
Section 1: PTO COMMITTEES
The Executive Board shall consist of the following committee positions: Athletic, Community, Fundraising/Budgeting, Historian, Project, Risk Management, and Service. Committee positions can be shared.

Section 2: TERM OF OFFICE
The term of office for all committee positions is for one term, beginning from the moment elected by the Executive Board and ending February 28 (or February 29th on leap year) of the following year. The committee candidates will be presented to the PTO by the first official meeting of the year.

Section 3: QUALIFICATIONS
Any PTO member in good financial standing may represent a committee of the PTO. Each committee shall be appointed by the Executive Board officers. All committees shall perform such duties as prescribed by the Vice President of the organization.

Section 4: DUTIES
Athletic Committee: Manage and organize sports-related activities for the Howard Academy Community. Activities include events such as the Father’s Day Soccer tournament and the Howard Academy Anniversary Race.
Community Committee: Facilitate and organize social events for Howard Academy. Community activities include the End of the Year Performance.

Fundraising/Budgeting Committee: Facilitate fundraisers, evaluate event budgeting (if applicable), and coordinate all funds raised with the PTO Treasurer.

Historian Committee: Document events with photographs or videos and upload to the Google Drive.

Project Committee: Facilitate student involvement or host academic events or activities with other schools. Projects include but are not limited to the World Scholars Cup (WSC) and the staff/student exchange with the Dayu School in Beijing, China.

Risk Management Committee: Ensure that all school policies are followed and respected by all members of the PTO.

Service Committee: Facilitate and organize community service opportunities for our students and PTO members. Service activity includes but is not limited to the annual Toy Drive for the children of Cerro Cabra, Veracruz.

Section 5: COMMITTEE MEETINGS
Committee members shall meet monthly during the school year, or at the discretion of the President.

Section 6: RESIGNATION
Resignation from a committee must be in writing and received by the Vice President with at least one week notice.

Section 7: REMOVAL
An appointed committee representative may be removed by a three-fifths vote of the chapter officers at the meeting following the one in which a “no confidence” motion has been presented, provided that at least six days have transpired before the vote.

Section 8: VACANCY
If a committee position becomes vacant through resignation or removal, a replacement may be selected by majority vote of the PTO executive board at any subsequent regular meeting.

ARTICLE V: MEETINGS
Section 1: GENERAL PTO MEETINGS
General PTO meetings shall be held to conduct the business of the PTO. Meetings shall be held monthly during the school year or at the discretion of the Executive Board.

Section 2: VOTING
Each member in attendance at a PTO meeting is eligible to vote, one vote per household. Absentee and proxy votes are not allowed.

Section 3: QUORUM
Seven (7) members of the PTO present and voting constitute quorum for the purpose of voting.

ARTICLE VI: FINANCIAL POLICIES
Section 1: FISCAL YEAR
The fiscal year of the PTO begins March 1 and ending February 28 (or February 29th on leap year) of the following year.

Section 2: BANKING

Section 3: REPORTING
All financial activity shall be recorded in a computer-based system. The Treasurer shall reconcile the account(s) monthly and report all financial activity monthly. The PTO shall arrange an independent review of its financial records each year.

Section 4: ENDING BALANCE
The organization shall leave a minimum of $1,000 in the treasury at the end of each fiscal year.

Section 5: CONTRACTS
Authority to sign contracts is limited to the President or the President’s designee.

ARTICLE VII: INTERPRETATION AND BYLAWS AMENDMENTS
Amendments to the bylaws may be proposed by any PTO member. Amendments presented at a PTO meeting shall be considered for voting at a subsequent meeting. Two-thirds (2/3) approval of all members present and voting is required to adopt an amendment to the bylaws.

ARTICLE VIII: DISSOLUTION
In the event of dissolution of the PTO, any funds remaining shall be donated to Howard Academy.

ARTICLE IX: PARLIAMENTARY AUTHORITY
The authority for this organization shall be Robert’s Rules of Order Newly Revised.
