The Customer (as provided under the section 'full name' and/or 'company name') is of the opinion that Protrait Services Ltd has the necessary experience and abilities to provide web solution services to the Customer. Details of such web solutions can be found at www.protraits.co.uk/Web

Protrait Services Ltd is agreeable to providing such services to the Customer on the terms and conditions set out in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Customer and Protrait Services Ltd (individually the “Party” and collectively the “Parties” to this Agreement) agree as follows:

Web Solution Services Provided:

1. The Customer hereby agrees to engage Protrait Services Ltd to provide the Customer with services consisting of:

“Complete website management for your business with care and support”

Website Management
It is a service involving the planning, structuring, analysing, designing, updating and developing of a website in-line with the expectation of a business firm.

‘One-on-One’ support from start to finish. This comes in different stages:

Stage 1
• Initial discussion and consultation with the client to understand the needs and expectations
• Understand the core business strategy and drafting an initial plan
• Offer different hosting solution in the market and help to choose the best solution for the website
• Choose/suggest a domain for the website
Stage 2
• Finalise the host for the website
• The extensive task of Drafting and Designing the website
• Linking the domain to make it all work
Stage 3
• Updating and amending details as necessary
• Liaising with client to make sure no information in the site is out dated
• Make sure that the end user access is easy and confident navigation is possible

2. The Services will also include any other tasks which the Parties may agree on. Protrait Services Ltd hereby agrees to provide such Services to the Customer at an additional cost where applicable and as agreed between both parties.

Term of Agreement

3. The term of this Agreement (the “Term”) will begin on the date of this Agreement and will remain in full force and effect as per the detail below:

Gold- 2 Years from the date of agreement; £100 for every additional year after two years
Silver- 2 Years from the date of agreement; £75 for every additional year after two years
Bronze- Term time not applicable. Term ceases with immediate effect once the website is live; £25 per support is levied after the site going live.

4. In the event that either Party wishes to terminate this Agreement, that Party will be required to provide 30 days notice to the other Party from the date of agreement.

5. Except as otherwise provided in this Agreement, the obligations of Protrait Services Ltd will end upon the termination of this Agreement.

Performance

6. The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.

Currency

7. Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in GBP (Great British Pounds).

Compensation

8. For the services rendered by Protrait Services Ltd as required by this Agreement, the Customer will provide compensation (the “Compensation”) to Protrait Services Ltd as follows:

8a. The Customer will pay Protrait Services Ltd per project agreed. Each project has its own costs and Protrait Services Ltd agrees to inform the Customer what are the costs involved when setting the quotation and the Customer agrees to pay the total amount when the project is delivered.

9. The Compensation will be payable upon completion of the Services.

10. Protrait Services Ltd is responsible for paying any Superannuation Guarantee contributions that may be required in relation to the work performed by Protrait Services Ltd or by employees of Protrait Services Ltd under this Agreement.

11. The above Compensation includes all applicable sales tax, and duties as required by law.

Reimbursement of Expenses

12. Protrait Services Ltd will not be reimbursed for expenses incurred by Protrait Services Ltd in connection with providing the Services of this Agreement.

Confidentiality

13. Confidential information (the “Confidential Information”) refers to any data or information relating to the business of the Customer which would reasonably be considered to be proprietary to the Customer including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Customer and where the release of that Confidential Information could reasonably be expected to cause harm to the Customer. The confidential information might include customer’s login credentials such as emails and their passwords or passcodes or pin numbers relating to the maintenance of the website (only).

14. Protrait Services Ltd agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which Protrait Services Ltd has obtained, except as authorized by the Customer. This obligation will survive indefinitely upon termination of this Agreement.

15. All written and oral information and material disclosed or provided by the Customer to Protrait Services Ltd under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Service Provider.

Return of Property

16. Upon the expiry or termination of this Agreement, Protrait Services Ltd will return to the Customer any property, documentation, records, or Confidential Information which is the property of the Customer.

Capacity/Independent Contractor

17. In providing the web based services under this Agreement it is expressly agreed that Protrait Services Ltd is acting as an independent contractor and not as an employee. Protrait Services Ltd and the Customer acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.

Dispute Resolution

18. In the event a dispute arises out of or in connection with this Agreement, the Parties will attempt to resolve the dispute through friendly consultation.

19. If the dispute is not resolved within a reasonable period then any or all outstanding issues may be submitted to mediation in accordance with any statutory rules of mediation. If mediation is unavailable or is not successful in resolving the entire dispute, any outstanding issues will be submitted to final and binding arbitration in accordance with the laws.

Modification of Agreement

20. Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative of each Party.

Time of the Essence

21. Time is of the essence in this Agreement. No extension or variation of this Agreement will operate as a waiver of this provision.

Assignment

22. Protrait Services Ltd will not voluntarily or by operation of law assign or otherwise transfer its obligations under this Agreement without the prior written consent of the Customer.

Entire Agreement

23. It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement.

Enurement

24. This Agreement will enure to the benefit of and be binding on the Parties and their respective heirs, executors, administrators, successors and permitted assigns.

Titles/Headings

25. Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.

Gender

26. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
