Hands on Transportation Contract

DEADLINE: July 31, 2019

This Participating Exhibitor Partner Contract is between ASSET Inc dba Imagination Station and Exhibitor Partner for the 18th Annual Hands on Transportation Event to be held on Saturday, September 7, 2019 at Tecumseh Junior High (or Tippecanoe County Fairgrounds in the event of heavy rain). Exhibitor understands that Hands on Transportation is a fundraising, non-profit, family-oriented event for the sole benefit of Imagination Station and this Contract is entered into in this spirit.

1. Exhibitor Partner Space and Amenities (if required):
a. Space: Imagination Station will provide space for the exhibited vehicle or booth space upon request for distribution of information or sale of goods.
b. Tent: Imagination Station will provide one “pop-up” tent for Exhibitor Partner to use for shelter and service if outside.
c. Duration: Imagination Station will make the designated site available from 8:00AM—3:00 pm, Site will be open to the public from 10AM– 2PM.

2. Entry Fee (Exhibitors who only wish to exhibit their vehicle(s) have a fee of $0). Exhibitors who want to sponsor the event financially can contact Imagination Station Executive Director Philip Cardella at philip@imagination-station.org for more details.

3. Responsibilities of Exhibitor Partner:
a. Use of Space: Exhibitor Partner will use space solely for exhibiting their vehicles, promoting their services and/or selling retail items from 10AM-2PM.
b. Staffed at All Times: The Exhibitor Partner will provide at least one staff person on-site while any Exhibitor Partner property is on-site. Sufficient staff will be provided to ensure the safety of the public and orderly use of the attraction.
c. Adequate Time: The Exhibitor Partner will provide services for the duration of the event.
d. End of Event and Clean Up. Exhibitor Partner will discontinue services at 2PM (emergency vehicles are exempt), and have the site cleaned, with trash, food, and property removed no later than 3 PM.

4. Hold Harmless Clauses:
a. Indemnity: Exhibitor Partner hereby agrees to hereby indemnify and shall hold harmless (including reasonable attorney's fees) Imagination Station, and its officers, agents, and assigns, against all liability to Sponsor Partner or to third parties arising from the operation of a booth at the Hands-on Transportation.
b. Risk of Loss/Liability: Exhibitor Partner assumes all risks associated with participation in the Hands-on Transportation, including, but not limited to, property theft and damage, personal injury (including death), property damage, and any other risks associated with Exhibitor Partner booth.
c. Liability for Employees: Exhibitor Partner assumes all liability for actions of its employees, agents, and assigns, for any property damage of personal injury caused by activities at Exhibitor Partner booth.
d. Safety on Premises: Exhibitor Partner agrees to be fully responsible for conditions and safety at the Exhibitor’s vehicle and/or booth, including any area around the Exhibitor Partner booth where Exhibitor Partner employees or agents may be working.
e. Indemnification - Legal Action: Exhibitor Partner obligation to indemnify Imagination Station will apply to any action brought against Imagination Station as a result of Exhibitor Partner participation in the Hands-on Transportation, regardless of when that action may be brought.
f. Liability Insurance: By signing this Indemnity Agreement, Exhibitor Partner warrants that it carries appropriate Liability Insurance for the activities Exhibitor Partner conducts at the Hands-on Transportation.

5. Cancellation:
a. Cancellation of Event: If the Hands on Transportation is cancelled for any reason, this Contract will become void, with no further obligation by either party. The Entry Fee will NOT be returned.
b. Cancellation by Exhibitor Partner: If the Exhibitor Partner cancels within two (2) weeks of the Hands-on Transportation or fails to show for any reason, Exhibitor Partner will forfeit all deposits and fees already paid (if applicable) as compensatory damages, and may lose priority status for future Imagination Station events.

6. Disclaimer of Warranties: Imagination Station makes no warranties regarding the fitness of the space assigned to the Exhibitor Partner, the profitability of the booth, or any other warranty concerning the participation of the Exhibitor Partner in the Hands-on Transportation.

7. Guarantee of Space. Booth space is limited; space will only be guaranteed if the signed Contract and Entry Fee is provided before the deadline stated on the first page of this Contract.
