This Submission Release (the “Release”) is hereby entered into by the party (herein the “Party” or “I” or “me”) submitting the audio/video work (the “Work”). I hereby represent, warrant, and affirm that I hold all right, title, and interest in and to the Work, that I am the sole owner of the Work, and that no other person or entity holds any interest in and/or to the Work nor is required to provide any of the rights herein granted by me in this Release. This Release is my consent and irrevocable license to Twin Cities Film Fest (“TCFF”) to use the Work in any fashion and/or manner as may be decided by TCFF in its sole and exclusive determination including, but not limited to, the sublicensing of the Work to advertising agencies, licensees, producers, and publishers of promotional material, among any other use that TCFF may make of the Work. The aforementioned license is non-exclusive and may be applied to any media format, whether now known or hereafter devised. I hereby waive any right to inspect or approve any use of the Work including, but not limited to, wherein my likeness and/or the Work may appear and irrevocably waive all rights of Publicity and/or Privacy, if any, I may have related to the Work and/or the contents thereof. I hereby waive any and all rights to make any monetary and/or other claim against TCFF and its officers, board members, employees, or volunteers for the use of my name, likeness, image, and/or any other identifying characteristic which may be personally identifying of me and all uses of the Work. The Party and TCFF agree that the good and valuable consideration for this Release is the Party’s submission of the Work and TCFF’s consideration of the Work for use. The parties agree that no other consideration is required to make this Release a binding agreement. Any dispute arising out of this Release shall be arbitrated in the county of Hennepin, State of Minnesota under the laws of the State of Minnesota, without regard for any conflict of laws provision, before a single arbitrator experienced in entertainment law that is assigned by and arbitrating under the rules of the American Arbitration Association (“AAA”).
