Roles, Responsibilities and Accountability

As a board member of North Hastings Children Services, it is critical that you understand your role and responsibilities, as well as the legal and fiduciary obligations of your position. To ensure effective governance, the roles and responsibilities of the Board of Directors of our organization have been defined as follows:

• To establish the mission statement, guiding principles and overall direction of our organization.

• To recruit, select and support the Executive Director and evaluate his or her performance.

• To provide quality services and supports to the people we serve.

• To ensure the financial stability of our organization.

• To promote our organization within the community.

I recognize that board terms are for two years and that barring unforeseen circumstances I am committing to complete the term. *
Participation at board meetings is critical and members absent for 3 consecutive meetings without just cause will be regarded as resigning from the committee. *
A conflict of interest arises in any situation where a Director's duty to act solely in the best interests of the corporation and to adhere to his or her fiduciary duties is compromised or impeded by any other interest, relationship or duty of the Director. A conflict of interest also includes circumstances where the Director's duties to the corporation are in conflict with other duties owed by the Director such that the Director is not able to fully discharge the fiduciary duties owed to the corporation.  I am not in a conflict of interest position.
