Let's assume we have a conflict in between Statement of Work (SOW) provisions and the core Agreement in 3 aspects: 1) payment model, 2) acceptance of work process, 3) scope of warranties and indemnities, 4) definition of defect. How would you resolve the conflict? Which of two (SOW or Agreement) should prevail in which case?
Let's assume our Client has failed to make timely payment for the Services and we would like to request payment and provide them with 10 days cure period.
