Proxy Form
What is a proxy form?
A form by which a shareholder votes without needing to attend an annual or extraordinary general meeting by
appointing someone else to vote on his/her behalf.

Why do you need a proxy form?
Pursuant to our By-Laws, 10% of owners (quorum) must be present either in person or by proxy in order for the
annual meeting to occur. If you know that you will not be able to attend the annual meeting, assigning your proxy to a trusted neighbor or FPHA Board member allows us to meet the quorum requirements and therefore, allows us to hold our annual meeting. If a quorum is not met, the annual meeting must be canceled, and rescheduled, which requires added expense of notifying all owners of the rescheduled meeting.

If I elect to assign proxy to a trusted neighbor or Board member, what am I authorizing that person to do on
my behalf?

You are authorizing that person to vote on your behalf on any items that come before the owners at the annual
meeting which requires a vote by membership. This may include voting to approve the budget for the next
calendar or fiscal year, items related to special assessments, new board members, etc.

Is the proxy only valid for this one meeting?
Yes, the proxy holder you name below has the authority to vote and act for you to the same extent that you would
if personally present for the annual meeting. THIS PROXY IS VALID ONLY for the meeting for which it is given
and any lawful adjournment. In the event the annual meeting is rescheduled due to lack of quorum, this
proxy is valid no more than forty-five {45} days from the date of the original meeting for which it was given,
unless otherwise revoked by the owner prior to said rescheduled meeting.
