To1express Parcel Point Agreement

Refer to the above matter.

We are pleased to confirm that we, To1 Express (M) Sdn Bhd ("To1express"), have
agreed to appoint above company name ("PARTNER") as an Authorized To1express Parcel Point on the terms and subject to the conditions contained herein and in the Schedules.

TERMS AND CONDITIONS

1. PARTNER agrees and undertakes to carry out and/or facilitate the storage,
collection, delivery and return of parcels on the terms and conditions set out
herein.

2. PARTNER shall comply with any standard operating procedures or rules or
regulations relating to sales, collection, delivery or return which may be notified
by To1express to PARTNER from time to time at any time.

3. PARTNER agrees to exercise the highest possible degree of skill and care in
performing PARTNER’s obligations hereunder. In particular: -

a. PARTNER shall deploy system and other related hardware and software as
per Schedule 1;

b. PARTNER shall maintain adequate amount of secured space for the
storage of the parcels as per Schedule 1;

c. PARTNER shall ensure that the parcels are at all times stored, contained
and maintained at the Collection Point with the highest degree of care and
skill;

d. PARTNER shall take all reasonable measures or precautions to prevent
any theft or conversion of or damage to the parcel(s) which are placed
under PARTNER’s control or custody.

e. PARTNER shall assign a person to perform the service obligations

4. PARTNER shall immediately refer to To1express any enquiries, complaints,
disputes and/or claims in relation to any sales, collection, delivery or return the
parcels, and shall not unilaterally settle any such disputes and/or claims.

5. The parcel(s) to be stored, held and handled by PARTNER are not intended under
any circumstances to contain any items or articles expressly prohibited in
Schedule 3(“Prohibited Articles”). PARTNER shall have the right to reject any
parcel(s) which PARTNER reasonably suspect to contain Prohibited Articles.
To1express and PARTNER shall not be liable whatsoever towards any person for
any death, personal injury, loss or damage of whatever nature which is caused by
any Prohibited Articles contained in the parcels.

6. PARTNER must utilize and display in a prominent location at PARTNER’s business
premises the point-of-sale materials provided to PARTNER by To1express, which
may include sticker(s), frames, standee, bunting, banner(s) and/or table stands.
In the event of termination during or upon completion of the promotion period up
till 31st Dec 2023, all the point-of-sale materials and other intellectual properties
of To1express provided must be returned to To1express.

7. The parties shall co-operate and work together in good faith to ensure the
smooth performance of this Agreement and to amicably resolve any disputes
which may arise between the parties.

8. In consideration of PARTNER performing PARTNER’s obligations hereunder,
PARTNER shall be entitled to the remuneration as set out in Schedule 2.

9. This Agreement shall commence on the date of this letter and continue in force
for a promotion period up till 31st December 2023. Thereafter, the Agreement
may be renewed subject to payment of annual subscription fee for 12 months as
in Schedule 1. Subsequent renewals are subject to approval from To1express.
Termination during or upon completion of the promotion period will result in 50%
deduction from the security deposit.

10.The PARTNER agrees not to engage directly or indirectly with any Service
Partners and/or Services offered by To1express during the term and/or 12
months from the date of termination by either party if any.

11.To1express has the right from time to time at any time and in its sole and
absolute discretion to amend, revise the terms and conditions of this Agreement
by mutual agreement and by giving PARTNER thirty (30) days’ prior written
notice.

12.In the event of breach of any terms and condition of this agreement by PARTNER,
To1express shall have the right to terminate this Agreement without incurring any
liability to PARTNER, by giving PARTNER thirty (30) days’ prior written notice.

13.PARTNER shall only be liable for any loss or damage to goods which is caused by
PARTNER negligence or breach of contract up to the value of RM100 per
Consignment note.

14.PARTNER shall fully indemnify To1express to To1express’s satisfaction against
all loss and damage of whatever nature whatsoever and howsoever arising which
To1express may suffer by reason of any breach of this Agreement by the
PARTNER.

15.PARTNER shall keep strictly confidential and not disclose to any third party and
use only for the purposes of this Agreement all information relating to the parcels
services.

16.This Agreement is governed by, and shall be construed in accordance with, the
laws of Malaysia
