The Client is of the opinion that the Service Provider has the necessary experience and
abilities to provide services to the client.

The Service Provider agrees to provide the services outlined in this Agreement.

The Client and the Service Provider (the ‘Party’/ ‘Parties’) agree as follows:

Services

1. The Client agrees to engage the Service Provider to provide the following service:
• A weekly, online networking session, of up to one hour, for the Client to access,
  during term�time only (based on the holiday dates of Leeds City Council, UK, as obviously
  term-times vary due to location)

2. The Service Provider agrees to provide the above service to the client (see clause 8 for
exceptions)

Terms and conditions

3. The term of this Agreement will commence on the date above and remain in force
until terminated, as outlined in this Agreement

4. If the Client wishes to terminate this agreement – 30-days-notice is required

5. Clients will conduct themselves in a way that befits the group, by being considerate,
courteous and polite.

6. Should either party breach a condition of this Agreement, the non-defaulting party
may terminate the Agreement with immediate effect.

7. Except as otherwise outlined, the obligations of the Service Provider will end upon
the termination of this Agreement.

8. The Service Provider has the right to cancel or re-arrange any scheduled networking
sessions, due to illness or other circumstances which the Service Provider deems
unavoidable. In this event, the Service Provider will either provide a date to reschedule
the session or refund to the Client the amount paid for that session.

Substitution

9. An alternative host may occasionally conduct the session – where this occurs, the
person will be a member of the group, deemed appropriate to host by the Service Provider.

 Confidentiality
 
10. Your privacy is important to us. Our Privacy Policy, regarding data and confidentiality, can
be found in the Announcements section of our Facebook group, Parenting Business
Connections
 
 Payment

11. The Client will set up a regular, agreed, monthly payment to the Service Provider via
Pay Pal (account: Sarah@theparentingcopywriter.co.uk). This payment is a requirement
to access the service provided by the Service Provider

 Notice

12. All notices required by the terms of this Agreement will be given via email to
sarah@theparentingcopywriter.co.uk

 Indemnification

13. The Parties agree to indemnify and hold harmless the other Party and its respective
affiliates, agents, officers, employees, permitted accessors and assigns against any and all
claims, damages, losses, liabilities, penalties, punitive damages, expenses, reasonable legal
fees and costs of any kind or amount, which arise out of or result from any act or omission
of the indemnifying party, its respective affiliates, agents, officers, employees, permitted
accessors and assigns that occurs in connection with this Agreement. This indemnification
will exist beyond the termination of this Agreement.

 Enurement

14. This Agreement will enure to the benefit of and be binding on the Parties and their
respective heirs, executors, administrators and permitted successors and assigns.

 Law

15. This Agreement will be governed by and construed in accordance with the laws
of England.
