Vendor Rules and Regulations
1. Vendors will be provided a 10x10 space to sell items
2. Vendors must keep all products within assigned space size
3. Vendors are required to provide their own tents, tables, chairs, and cooking equipment for setup area.
Tents may be branded.
4. Vendors must be prepared to sell to 2,000+ attendees
5. Vendors are required to follow all CDC guidelines and Mask are REQUIRED
6. There will be no electricity available
7. Vendors will ONLY be permitted to enter the event space and set up 2 hours prior to each event . Tear
down will be from upon event conclusion, and 2 hours after.
8. Vendors are not permitted to smoke in the rented space
9. Vendors are not permitted to have or drink alcohol within the rented space
10. Vendors are permitted to accept cash or card transactions for items
11. Vendors must provide their own POS system or cash drawer during the event to accept payment for
items
12. No children under fifteen (15) are permitted in the rented booth space (2 person per non-food vendor allowed in booth)
13. Vendors should be careful to protect all grass/landscaped areas
14. Returned checks are subject to a $35 NSF fee
15. All Vendors are responsible for collecting/paying Texas State Sales Tax as applicable to their product
16. Parking/loading space will be provided within the event area during setup and tear down. No PARKING
OR LOADING will be permitted on city streets surrounding the event
17. Submission of this application does not guarantee acceptance due to limited space.
18. THERE WILL BE NO RAIN DATES
19. In the case of Vendor cancellation, the Vendor must personally notify FIdeo Loco Festival in writing at least
six weeks prior to the event to receive application credit. If the Vendor cancels less than six weeks prior
to the event, no deposits will be refunded
20. Termination. This agreement shall automatically terminate upon the end of the Event. FIdeo Loco Festival
shall have no further obligation to the Vendor in connection with subsequent FIdeo Loco Festival events
in future years
21. Prohibited Acts. Vendor shall not distribute or advertise any product or service that is not consistent
with the “family friendly” character of Southside Craft Soda. Vendor shall comply fully with all applicable
federal, state, and local regulations. It further shall limit its products and services to those specifically
authorized in Exhibit “A.”
22. Miscellaneous
a. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and
their respective successors and assigns.
b. This Agreement shall not be assignable by the Vendor without the express written consent of
FIdeo Loco Festival.
c. This Agreement shall be governed by the laws of the state of Texas and shall be performable in
San Antonio, Bexar County, Texas.
d. This Agreement contains the entire understanding of the parties with regard to the subject matter
herein addressed, and it may not be modified in any fashion except by written instrument executed by both parties hereto.
e. Vendor agrees to be liable for its respective acts, omissions and obligations under this Agreement
and indemnities and holds Fideo Loco Festival (including its officers, participating organizations, and
employees) harmless for any such acts, liabilities, omissions, claims or obligations. Any indemnity
hereunder shall also inure to the benefit of the City of San Antonio. This indemnity shall survive the termination of the Agreement.
f. Nothing contained herein shall be deemed or construed to create any partnership or joint
venture between Vendor and FIdeo Loco Festival. All activities by each party or its subcontractors
under the terms of this Agreement shall be carried on by such or its subcontractors, as an
independent contractor and not as an agent for or employee of the other party hereto. Under no
circumstances shall any employee of each party or employee of its subcontractors be deemed or
construed to be an employee of the other party. Neither party shall be liable for any injuries or
damages incurred by the other party, or the other party's subcontractors, as a result of the other
party's activities in the performance of this Agreement.
22. Waiver of Subrogation - To the extent permitted by law, the Vendor hereby releases FIdeo Loco Festival, its
elected and appointed officials, employees and volunteers and others working on behalf of
Fideo Loco Festival from any and all liability or responsibility to the Vendor or anyone claiming through or
under the Vendor by way of subrogation or otherwise, for any loss or damage to property caused by fire
or any other casualty, even if such fire or other casualty shall have been caused by the fault or negligence of FIdeo Loco Festival, its elected or appointed officials, employees or volunteers or others
working on behalf of Fideo Loco Festival. This provision shall be applicable and in full force and effect only with respect to loss of damage occurring during the time of the vendor's occupancy or use, and vendor's policies of insurance shall contain a clause or endorsement to the effect that such release shall not adversely affect or impair such policies or prejudice the right of the vendor to recover thereunder. The vendor agrees that its policies will include such a clause or endorsement.

By signing this contract, the Vendor releases FIdeo Loco Festival and its agents, from any liability due to
breakage, theft, injury, or bodily harm while at above listed events. The Vendor also agrees to the rules and
regulations of Fideo Loco Festival.
