for a license to vend at the Event. The
Vendor will be assigned 2 chairs and a table. HHFF + HMM shall have the
authority to interpret and enforce these rules. All matters not covered by
these rules are subject to the sole discretion of HHFF + HMM. All decisions so made
shall be binding on all parties as the original rules. The vendor or its
designated representative is responsible for familiarizing itself with all
rules and regulations. The vendor or its representative who fails to observe
these conditions or the terms of the contract may be excluded from the event
without refund.
General Terms & Conditions
HHFF + HMM reserves the right to take the
following actions at any time prior to or during the event and at its sole
discretion:
1. Decline
to provide space to a vendor whose material(s) and/or content are objectionable
to HMM, its branding and/or are not consistent with HMM's rules and
regulations.
2. Prohibit
any vendor, or part thereof, which violates this Agreement or is in any way not
suitable for, or in keeping with the character and spirit of the event.
3. Close
any vendor booth which is found to be too loud, disruptive and/or disturbs
other vendors because of, among other things, material, content or method of
operation violates this Agreement.
4. Close
any vendor booth which is found to be operating outside of their designated
space.
5. Refuse
to permit a vendor who violates this Agreement to participate in one or more
future HHFF + HMM events.
Please
note, products or services sold, displayed/demonstrated in actual, printed or
audiovisual manner must meet Islamic standards that HHFF + HMM wishes to observe.
Vendors and their staff are expected to follow Islamic standards of behavior
and ethics when dealing with customers and soliciting businesses.
Amendments
HHFF + HMM may amend these rules and regulations at any time, and all amendments so
made shall be binding on vendors equally with the original rules and
regulations.
Disputes and Dispute Resolutions Policy
Any requests and/or
disputes with respect to these Vendor Rules and Regulations must be made to HHFF + HMM. You must communicate your request or dispute to HMM in writing. All
written communications should be sent to Houstonmuslimmarket.tx@gmail.com. HHFF + HMM will only respond to written communications made to the immediately
aforementioned e-mail address.
Failure to Hold the Shop HMM Event
HHFF + HMM may terminate the
Vendor’s contract when HHFF + HMM believes that:
The premises in which
the event is to be conducted has become unfit for occupancy, or
The holding of the event's performance under the contract is substantially or
materially prevented or interfered with by a cause or causes not reasonably
within HHFF + HMM’s control. HHFF + HMM is not responsible for delays, damage, loss,
increased costs or other unfavorable conditions that vendors have as a result
of such termination. Furthermore, in the event of such termination,
HHFF + HMM may retain such
part of vendor’s rental as shall be required to recompense it for expenses
incurred up to the time of such termination or incident to such termination,
with no liability for either party to the contract. The vendor waives all
claims for damages or recovery of payments made except for the return of the
prorated amount paid for vendor’s space less expenses incurred by HHFF + HMM. The
above phrase "a cause or causes not reasonably within HHFF + HMM’s control"
includes but is not limited to: fire; casualty; flood; epidemic; threat of terrorist
attack; earthquake; explosion; accident; blockage; embargo; inclement weather;
act of public enemy; riot or civil disturbance; strike, lockout, boycott or
other labor disturbance; inability to secure necessary labor; technical or personnel
failure; lack of or impaired transportation facilities; inability to obtain,
condemnation, requisition or commandeering of necessary supplies or equipment
or services; orders or restraints imposed by civil defense, military or other
types of governmental authorities; or acts of God. In case of closure due to
COVID-19 government restrictions, HHFF + HMM will refund 100% of the vendor fees.
Liability & Insurance
HHFF + HMM or representatives
(hereafter referred to as the indemnities) shall not be responsible for any
injury, loss or damage that may occur to the vendor or to the vendor’s
employees or property, prior, during or subsequent to the period covered by the
event contract. The vendor, on signing this contract, expressly releases the
indemnities from, and agrees to indemnify same against, any and all claims for
such loss, damage or injury.
The vendor also agrees
to indemnify the indemnities from any and all liability, costs or damages out
of or relating to acts or omissions of the vendor, its agents, its volunteers
or employees. Vendors desiring to carry insurance on their booths will place it
at their own expense. If desired, vendors may have locked facilities available
in their booth for the storage of display materials or products.
In no event shall HHFF + HMM or any of its volunteers or employees be liable to vendors for any amount
beyond the booth rental fee actually paid by the vendor to HHFF + HMM with respect to
which or in connection with which liability is asserted for any indirect,
incidental, consequential or other damages (including but not limited to claims
for lost profits) out of or relating to a HHFF + HMM event, the rental of booth space,
the conduct of HHFF + HMM, any breach of contract, or any other act, omission or
occurrence. The vendor understands that neither HHFF + HMM nor the venue maintain
insurance covering the vendor’s property; it is the sole responsibility of the
vendor to obtain such insurance.
Restricted Products
If a vendor is found to
be selling products that are pirated or found to be infringing on copyright, HHFF + HMM reserves the right to immediately terminate the vendor contract with no refund.
Damage of Property
Vendors are liable for
any damage caused to buildings, floors, walls, columns standard booth equipment
or other property at the venue. Vendors may not apply paint, lacquer, adhesive
or any other coating to building walls, columns and floors, or to standard
booth equipment.
Booth Attendants
All vendors must be
staffed by at least one attendant during ALL event hours, even if you are
hosting a workshop, unless otherwise agreed to in writing with HHFF + HMM.
Early Dismantling
Dismantling your booth
early is NOT permitted before the ending of the event (7:00 pm).
HHFF + HMM is responsible for maintaining all in-and-out traffic schedules at the
event and handling the move-in and move-out of all vendors materials and
equipment. HHFF + HMM will also maintain control and have priority at the loading
areas at all times. Failure to comply may result in the vendor at fault being
barred from future HHFF + HMM events.
Space Restrictions
Aisles and other spaces
at the event not leased to vendors shall be under the control of HHFF + HMM. All
displays, distribution of literature and the transactions of business of any
nature shall be made WITHIN the space contracted. Location of demonstrations,
presentations and samplings within the limits of the booth. Vendors are urged
to immediately report violations of this rule to the HHFF + HMM volunteers.
Soliciting/Demonstrating
Vendors must be
confined to the exact space allocated. Advertising matter and all kinds of promotional giveaways must be distributed only within booth spaces. Nothing can
be posted on, tacked, nailed, screwed or otherwise attached to any parts of the
building or furniture.
Canvassing, Marketing or distributing
advertising matter outside the designated event area is prohibited. Failure to
comply with this regulation WILL result in dismissal from the event.
Food
Food vendors should
have packaged food and drinks for sale only. As per the City of Sugar land all
food vendors must complete the City of Sugar land temporary food permit application. The
Event Coordinator for HHFF + HMM will get in touch with all food vendors to complete
the permit application.
Vendor Booths
Booths for this event consist of table
and 2 chairs. Any banner and display material shall be the vendor
responsibility.
Fire, Safety and Health
The vendor agrees to
accept full responsibility for compliance with local, city and provincial/state
fire, safety and health ordinances regarding the installation and operation of
equipment or otherwise relating to his/her booth. Furthermore, all vendor
materials and equipment must be located within the booth and protected by
safety guards and devices where necessary to prevent personal accident or
injury to spectators or to other vendors.
Animals
No live animals of any size will be
permitted into the event. This does not include companion animals for people
with disabilities.
Hazards and Firearms
Equipment with sharp or
protruding edges posing a potential danger to attendees and/or HHFF + HMM personnel at
whatever level must have protective covering and/or be flagged. No firearms of
any nature may be brought into the event.
Unauthorized
Fundraising
Unauthorized fundraising
or soliciting is NOT permitted in the event or any other areas of the venue.
Charity partners and charity vendors have already discussed fundraising with
the HHFF + HMM in advance.
Vendors will be
provided with Social Media graphics to use for promotional purposes. We require
everyone’s support in advertising the event to attract the most attendees for
everyone’s benefit, inshaAllah.
Hours of Event
Vendors are only allowed to operate their booth as indicated and only during
event hours:
Saturday, September 30, 2023 from 11:00 AM - 7:00 PM (HHFF + HMM reserves the right to
modify time). All vendors must begin dismantling their booth at the end of the
Event; vendors must ensure to depart as soon as possible once dismantling is
completed.
