WHEREAS, POWERFUL & TRUE will provide the agreed upon services to CLIENT, as described in this document and in the Scope of Work (forwarded to CLIENT if defined outside this document) as outlined for the Coaching or Training Package introduced to CLIENT, for the duration of the agreement period. POWERFUL & TRUE is willing and able to provide coaching, training and consulting services to CLIENT. NOW, THEREFORE, THE PARTIES AGREE as follows:

1. Initial agreement period shall be for 12 months. Agreement will be open for re-negotiation at the completion of the agreement period. If client wishes to continue as is or at a modified rate, the rest of this agreement will continue to stand for the life of the CLIENT/POWERFUL & TRUE relationship.

2. POWERFUL & TRUE agrees to have the coach/trainer/facilitator agreed upon during intake as their direct representatives working with CLIENT. POWERFUL & TRUE may choose to bring in contracted associates to complete the agreement as approved by CLIENT.

3. It is understood by the parties that coaches/trainers/facilitators except POWERFUL & TRUE employees, are independent contractors, and are not considered agents or employees of POWERFUL & TRUE in their performance under this agreement.

4. POWERFUL & TRUE agrees to deliver Leadership Coaching and/or Leadership Training, and/or facilitation for CLIENT.

Leadership coaching shall be defined as: a developmental process where a leader gets tailored support from a coach
to help identified leaders at all levels leverage their leadership skills. Leadership coaching is designed to maximize performance in the leaders and their direct and indirect reports.  

Leadership Training shall be defined as: training programs, courses, or private and/or group coaching designed to develop the emotional intelligence and managerial awareness and leadership skills in an organization.  

Facilitation shall be defined as: a process to build teams and shape leaders by helping groups reach a decision, plan, or outcome that everyone fully agrees on and commits to achieving. Facilitators act as guides, able to manage group dynamics, help resolve conflict, and creatively guide groups toward meeting shared goals.

Coaching, Training and Facilitation are fundamentally designed to work toward achieving specific goals set by CLIENT during the Intake process. The end goal for leadership development is to better manage employees, increase productivity, resolve conflict, and improve teamwork and workplace culture.

5. CLIENT agrees to make recommendations and to provide any materials that will assist POWERFUL & TRUE, Inc in designing the best course of action for CLIENT as pertaining to services agreed upon.

CLIENT further agrees to maintain ongoing communication about their desires and recommendations for any training or coaching POWERFUL & TRUE develops in order to best promote CLIENT’S desired outcomes.

6. POWERFUL & TRUE agrees to provide session notes and handouts (electronic versions) developed for CLIENT through their assigned web portal which will remain on the portal for 12-months from intake. (In-person sessions or impromptu phone sessions are exempt from session notes). Video or audio recordings of the session are often offered and shall remain at the will of the CLIENT.  POWERFUL & TRUE is under no obligation to record sessions.

7. The parties agree that any Program Materials received or downloaded from POWERFUL & TRUE are proprietary and CLIENT agrees not to copy or share the Program Materials with anyone without the express written consent of POWERFUL & TRUE. We are not responsible for anything you adapt from our documents or forms, nor do we claim the legality of your documents based on our recommendations.

8. CLIENT agrees to pay POWERFUL & TRUE the full amount of coaching/training/facilitation for the term agreed upon. Full sum must be paid for coaching/training/facilitation that takes place in a shorter time-frame than one-month. Longer contracts may be paid in full or through pre-arranged installments, not to exceed 10 installments.

9. Payment may be in cash, credit / debit card, direct or ACH deposits. INSTALLMENTS: For credit card, debit card, or direct deposit payments, POWERFUL & TRUE will set up an automatic withdrawal for pre-determined funds from CLIENT’s designated account at the agreed upon date each month, when on the installment payment plan. FULL-PAY: If being paid in-full, client may pay via the invoice sent by POWERFUL & TRUE or via credit/debit card. All INSTALLMENTS and FULL-PAY payments must be made prior to service.

10. If CLIENT misses more than 2 coaching sessions in a row without a minimum 24-hour prior notification, they are allowed to reschedule those sessions. The next missed session shall be counted as a paid coaching session and not available for reschedule.

11. UNTIMELY PAYMENTS: Accounts not paid on time and in the full installment amount will not receive further service until complete payment is made.

12. Additional services above and beyond current agreement will be negotiated and pre-approved by CLIENT.

13. From time to time POWERFUL & TRUE may "gift" random kindle books, DiSC profiles, or other "gifts" to CLIENT these are not billed to client.

14. Extra out-of-pocket pre-approved expenses incurred by POWERFUL & TRUE for CLIENT for in-person coaching and training to include; airfare, water, or land travel beyond 20 miles from POWERFUL & TRUE coach's primary location, to include lodging, meals, and outside US, Canada, and Mexico cellular charges, are considered to be outside the payment agreement and are to be covered by CLIENT (Unless expressly covered in Scope of Work or Package). Mileage reimbursement rates will be charged at the current federal milage standard rate for the time of service.

15. CLIENT agrees to reimburse pre-approved miscellaneous expenses such as but not limited to those listed in item 12 above POWERFUL & TRUE will invoice CLIENT separate from full-pay or installment payments.

16. POWERFUL & TRUE agrees to maintain kindness and uncompromising ethical standards in working with CLIENT.

17. POWERFUL & TRUE agrees to maintain CLIENT confidentiality.

18. Should the assigned POWERFUL & TRUE coach / trainer / facilitator  feel there may be danger to the CLIENT or others, due to what the coach hears or senses during CLIENT session, representative is released to discuss the situation with a Professional advisor or report to authorities for intervention if they perceive a life-threatening situation.

19. CLIENT agrees to provide forthright written or oral feedback of POWERFUL & TRUE performance and services.

20. If CLIENT is dissatisfied for any reason, CLIENT agrees to contact a POWERFUL & TRUE representative to rectify their issue immediately. POWERFUL & TRUE agrees to do everything in their power to resolve the concern in a fair and equitable manner.

22. Training, Facilitation and Coaching packages are non-refundable regardless of the number of sessions used.

23. Due to unforeseen circumstances, CLIENT may need to postpone or reschedule coaching, training or facilitation; POWERFUL & TRUE will allow a reschedule of up to three-months from CLIENT'S last session to reclaim the previously paid for sessions. Payment will not be placed on hold.

24. CLIENT may temporarily or permanently replace self, transfer or sell CLIENT coaching package only to another party upon approval from POWERFUL & TRUE. Replacements, transfers or sale must be discussed with POWERFUL & TRUE prior.

25. Either party may cancel this agreement within the first 30-days of service, providing written notice to the other party. After 30-days, the training, facilitation, or coaching package is not eligible for cancelation.

26. If POWERFUL & TRUE is unable to complete CLIENT coaching, training or facilitation during the agreement; POWERFUL & TRUE will replace CLIENT's coach, facilitator, or trainer with no additional fees.

27. Unless agreed coach rate increases as CLIENT income increases while being coached, and was written into the intake documents and previously agreed upon by CLIENT, coaching rates stay the same as entered into said agreement, and are protected for the term of this agreement, regardless. Rates may be open to re-negotiation upon the anniversary of each year of coaching and will be documented in writing in the client's year-end notes or recorded in their original INTAKE agreement.

28.  CLIENT shall indemnify, defend and hold POWERFUL & TRUE harmless from and against any and all third party claims, liability, suits, losses, damages and judgments, joint or several, and shall pay all costs and expenses (including counsel's fees and expenses) as they are incurred in connection with the investigation of, preparation for or defense of any pending or threatened claim or any action or proceeding arising there from, that POWERFUL & TRUE incurs as a result of having performed services on behalf of CLIENT.

29.  Notwithstanding any other provision of this Agreement, in no event shall POWERFUL & TRUE be liable to CLIENT for CLIENT'S lost profits, or special, incidental, punitive or consequential damages (even if POWERFUL & TRUE has been advised of the possibility of such damages). Furthermore, in no event shall POWERFUL & TRUE’s liability to CLIENT under any circumstances exceed the amount of compensation actually received by POWERFUL & TRUE from CLIENT under this Agreement as of a date certain. Further, POWERFUL & TRUE will not be liable for delays or performance failures due to circumstances beyond POWERFUL & TRUE’s control.

30. This Agreement, the Scope of Work, as well as recorded or documented Intake Session agreements, hereto constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous representations, understandings, or agreements, whether oral or written, relating to the subject matter hereof.

31. All prior or contemporaneous representations, understandings or agreements, whether oral or written, that are expressly set forth within the four corners of this Agreement are hereby deemed waived, superseded and abandoned.

32. CLIENT represents that it has the full right and authority to enter into and perform this Agreement. The consummation of the Agreement and the transactions contemplated herein do not violate any outstanding assignments, grants, licenses, encumbrances, obligations, agreements or understanding between CLIENT and any other person or entity. CLIENT represents and warrants to POWERFUL & TRUE that CLIENT is able to timely pay POWERFUL & TRUE all fees and expenses incurred in the performance of the services hereunder.
