Purposes of the Agreement

We very much appreciate your wanting to contribute to one of the open source projects administered by Typesense located at: https://github.com/typesense (each a “Project”). This Agreement outlines the terms under which You may contribute to a Project any software, modifications or additions, bug fixes, documentation, or any other materials that You provide (whether electronically, verbally, or in written form) to Typesense related to a Project (each a "Contribution").

This Agreement is for Your protection as well as the protection of Typesense and its licensees. Note that this Agreement does not transfer ownership of Your Contributions, but simply grants to Typesense a license to such Contributions. This Agreement does not change Your rights to use Your contributions for any other purpose.

Terms of the Agreement

This Contributor License Agreement (the “Agreement”) is entered into between Typesense, Inc., a Delaware corporation (“Typesense,” “we” or “us”) and the individual or entity identified below (“You”). Accordingly, by submitting any Contribution, You hereby agree as follows:

1. Control of Project. We, in our sole discretion, determine the Contributions that will be included in a Project. You understand that this Agreement, and Your submission of any Contribution, does not guarantee that any such Contributions will be included in a Project.

2. License Grants. You hereby grant to Typesense a perpetual, worldwide, non-exclusive, royalty-free and fully paid, irrevocable, sublicensable, and transferable license under all of Your relevant intellectual property rights (including copyright, patent, trade secret, and any other rights) to use, copy, reproduce, modify, prepare derivative works of, publicly display, publicly perform, and distribute Your Contributions on any licensing terms, in our sole discretion, including, without limitation, the GNU General Public License, the Apache License, or a commercial license. In addition, You hereby grant to Typesense and to recipients of software distributed by Typesense a perpetual, worldwide, non-exclusive, royalty-free and fully-paid, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the applicable Project(s), where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with any Project.

3. Your Representations. You represent that You are legally entitled to grant the above license rights and, to Your knowledge, no other person claims, or has the right to claim, any right in any intellectual property right, including without limitation invention or patent rights, related to Your Contributions. You also represent that You are not legally obligated, whether by entering into an agreement or otherwise, in any way that conflicts with the terms of the foregoing license grants. If Your employer(s) has rights to intellectual property that You create, You represent that You have received permission to make Your Contributions on behalf of that employer, or that Your employer has waived such rights for Your Contributions. You represent that each of Your Contributions is Your original work of authorship. You agree to immediately notify Typesense of any facts or circumstances of which You become aware that would make these representations inaccurate in any respect.

4. No Support; No Implied Warranties. You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. You may provide support for free, for a fee, or not at all. Except for the express representations in this Agreement, You provide Your Contributions on an “AS IS” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
