Foundation The Next Smile, statutory established in Vlaardingen, the Netherlands, enrolled in the registers of the Chamber of Commerce under file number 77668154, in this represented by R. van Popering, hereinafter referred to as ‘the Client’.

You, hereinafter referred to as ‘the Ambassador,

declare that they have taken the following into account:

The Client is a charity against child labour
The Client needs ambassadors that promote the foundation and its activities. The Ambassador is prepared to acts as the Client’s ambassador and to promote the foundation and its activities.
The Ambassador will expressly not work in an employment relationship under Dutch Civil Law, but as mentioned in Article 7:400 of the Civil Civil Code.
Parties wish to record the mutual arrangements in this agreement (hereinafter: ‘the Agreement’).

declare that they have agreed on the following:

Article 1. The assignment
The Client has given the Ambassador the assignment to perform activities on behalf of the Client outside employment. The ambassador has accepted this assignment.
The activities that will be performed by the Ambassador are the following:
-promotional activities that are carried out by the Ambassador in consultation with the Client. Both parties have to agree at all times.
-Promoting and representing the client on social media when the ambassador see fit.

Article 2. Remuneration
-The Ambassador will receive  fixed fee of € 0 (excluding VAT) per month for his/her activities.
-The Ambassador is not entitled to receive remuneration for the period that he/she has not performed work as a result of illness, disability, vacation or leave.

Article 3. Expenses
All related costs and expenses resulting from the assignment are included in remuneration, unless explicitly stated otherwise in this Agreement.

Article 4. Independence of the Ambassador
-The Ambassador is completely independent when carrying out the work. The Ambassador will perform the work as he/she see fit and is not under direction or supervision of the Client.
-The Client can give instructions about the result of the assignment.
-The Client provides the Ambassador with all authority and information required for the proper execution of the assignment.
-The parties do not grant each other exclusivity. The Ambassador can also act as ambassador for other companies and promote other activities, provided that there is no mention of companies or activities that compete with the Client. The Client may also engage other persons, as an ambassador in another way, for the promotion of the Client and its activities.

Article 5. Indemnification
The Ambassador will indemnify the Client against all taxes, social premiums or levies, such as taxes or social premiums, which are related to the fact that the work that the Ambassador carries out for the Client is considered to be an employment contract. Any taxes or social contributions paid by the Client will be immediately reimbursed by the Ambassador to the Client, or will be settled by the Client with the remuneration of the Ambassador.

Article 6. Duration of the Agreement and termination
-This Agreement will run for an indefinite period, starting the day this document is signed.
If this Agreement is tacitly continued by the parties after .......... [date referred to in paragraph 1], it is deemed to have been continued for the same duration and under the same conditions. The Agreement also terminates by operation of law due to the single lapse of time.
-This Agreement can be terminated prematurely by both parties directly. Cancellation takes place by email, text or letter at the end of the calendar month.
-This Agreement may be dissolved by either party with immediate effect and without judicial intervention being required, by registered letter if the other party fails to comply with one or more of the provisions of this Agreement despite a written demand whereby a reasonable period of time to comply is set to the other party.

Article 7. Secrecy agreement
The Ambassador will be bound to secrecy with respect to his or her activities performed for the Client iif the Client requested so or with regard to information of which the confidential nature could reasonably have been known to the Ambassador.
