This Resident Membership Contract (the “Agreement”) is entered into on the date this application is submitted by you, the individual identified on the Back Acres Country Club Resident Membership Application.

Back Acres Country Club, Inc., a Mississippi non-profit Corporation, with principal business address of 1013 Country Club Drive, Senatobia, Mississippi, 38668, hereinafter referred to as “BACC” owns and operates a privately owned country club. Resident Member desires an opportunity to enjoy BACC's facilities on a regular basis and obtain certain privileges associated with being identified as a Resident Member of BACC. Resident Member agrees to become a Resident Member on the terms and conditions set forth herein.

1. Resident Member. For purposes of this agreement, “Resident Member” shall mean the person identified on the “BACC Resident Membership Application”. Person making application must have two letters of recommendation from two separate members as defined in the bylaws.

2. Resident Membership. Upon payment of initial month's dues, Resident Member's Resident Membership privileges will be active for one year from the date of this contract and he or she will be a “Resident Member” as defined in the bylaws except Resident Member will not have voting rights in the first year of Resident Membership. Resident Member is agreeing to pay one year's dues in monthly installments over the course of one year. The one-year contract will automatically renew at the end of the initial contract period placing Resident Member in like position as any Resident Member as previously defined by the Bylaws. Resident Member may not terminate Resident Membership within the initial one year period. Resident Membership may be refused or revoked by BACC at the discretion of BACC. BACC may revoke Resident Membership if Resident Member violates any terms of this contract agreement or any other violation of the Bylaws of BACC. No portion of any fees paid or due within the first year of Resident Membership are refundable upon revocation, termination, or suspension of Resident Membership.

3. Commitment to Resident Membership. For a minimum of one year from the date of approval by BACC, I hereby obligate myself for the payment of all applicable monthly dues, fees and charges during the Resident Membership subject to the terms associated with this one year Resident Membership Agreement.

4. Resident Member Privileges. Resident Member will have full Resident Membership as defined in bylaws except Resident Member will be a non-voting Resident Member during the Resident Member's initial year of Resident Membership. One year and a day from Resident Member's initial contract Resident Member will become a voting Resident Member.

5. Additional Fees. This agreement waives the one-time non-refundable initiation fee when entered into during the months of January 1, 2024 through December 31, 2024. Resident Member must sign this one year contract during the time between January 1, 2024 and December 31, 2024, unless special extension is granted by the Board to exercise the waiver of the initiation fee.

6. Payment of Resident Membership Account. All dues, fees, food, beverage, merchandise, services and other charges of BACC charged to the Resident Member's account will be billed monthly. The undersigned hereby agrees to pay in full when due: all dues, fees, and other charges incurred by the undersigned, immediate family Resident Members and their guests and to pay the account when due. All accounts will be set up on a Pre-Authorized Debit from your Checking Account. Dues shall be debited from the Pre-Authorized Debit account each month. Pre-Authorized debit accounts will automatically renew for another one year period at the end of each year. Past due bills will accrue a late fee each month in an amount equal to a minimum late fee established by BACC from time to time and/or interest at the maximum, non-usurious rate permitted by law from the date of the statement until paid in full. Updating financial information is the responsibility of the Resident Member. The undersigned further agrees to pay all reasonable attorney's fees, investigation fees, accountant's fees and other costs incurred in connection with the collection of delinquent accounts.

7. Items and issues not addressed in this agreement are deemed to be controlled by the Bylaws and Resident Membership Application and agreement of BACC.

8. Resident member shall indemnify BACC, its officers, employees and agents, and protect and hold BACC, its officers, employees and agents harmless from and against any and all claims, liabilities, losses, costs, damages, expense, including consultants and attorneys fees, court cots, demands, causes of action or judgment directly or indirectly arising out of the or related to membership. BACC disclaims any and all loss or liability resulting from, but not limited to: acts of God, unauthorized use or misuse of your account information, errors, omissions or misstatements in any information or Membership privileges provided under this Agreement or Member's inability to use Membership. BACC's entire liability and that of its officers, employees, agents and any third party providing services as part of the Resident Member Privileges, and Members exclusive remedy with respect to any matter arising out of this Agreement, is limited to the actual amount paid for Membership Fees. 

I ENTER THE PROPERTY OF BACC AT MY OWN RISK AND BACC IS NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE TO PERSONAL PROPERTY, NOR IS BACC RESPONSIBLE FOR ANY INJURIES THAT OCCUR ON BACC PROPERTY, WHETHER THE INJURIES ARE A RESULT OF BACC'S NEGLIGENCE, THAT OF AN EMPLOYEE, MEMBER, GUEST, OR TRESPASSOR. ANY CLAIMS BASED ON THE NEGLIGENCE OR GROSS NEGLIGENCE OF BACC OR IT'S OFFICERS OR EMPLOYEES IS EXPRESSLY WAIVED.
