This Non-Disclosure Agreement (the "Agreement") is entered into between the company listed below ("Disclosing Party") and The Cryptokenikeni Project ("Receiving Party") (collectively referred to as the "Parties") to protect the confidentiality of certain information and materials shared during the course of their business relationship related to The Cryptokenikeni Project.

1. Confidential Information: The term "Confidential Information" refers to any information, data, or materials disclosed by the Disclosing Party to the Receiving Party, whether orally, in writing, or in any other form, that is designated as confidential or that should be reasonably understood to be confidential given the nature of the information and the circumstances of disclosure.

2. Non-Disclosure Obligations: The Receiving Party agrees to maintain the confidentiality of the Confidential Information and shall not disclose, publish, reproduce, or use the Confidential Information for any purpose other than as necessary for the performance of their obligations under the Cryptokenikeni project, unless otherwise authorized in writing by the Disclosing Party.

3. Exceptions: The obligations set forth in this Agreement shall not apply to any information that:

   a) Is already in the public domain at the time of disclosure or subsequently becomes part of the public domain through no fault of the Receiving Party;

   b) Is lawfully obtained by the Receiving Party from a third party without any obligations of confidentiality;

   c) Is independently developed by the Receiving Party without reference to or use of the Confidential Information; or

   d) Is required to be disclosed by law or by a valid order of a court or governmental agency, provided that the Receiving Party gives prompt notice to the Disclosing Party to allow them the opportunity to seek a protective order or take other appropriate action.

4. Return of Information: Upon the written request of the Disclosing Party, or upon the termination of the business relationship between the Parties, the Receiving Party shall promptly return or destroy all Confidential Information, including any copies, notes, or summaries thereof, in their possession, custody, or control.

5. Entire Agreement: This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, or representations, whether oral or written.
