EXHIBITION AGREEMENT

WHEREAS, Bellevue Bridal Show are producing, organizing, and coordinating an Exhibition at the address stated above, to take place on Sunday September 26, 2021 starting at 1:00 p.m. and ending at 4:00 p.m. Set up time will begin at 10:00 a.m. Sunday.

WHEREAS, exhibitor desires to participate in said Exhibition for the purpose of displaying and promoting its merchandise and or service; therefore, in consideration of the terms, covenants and conditions hereinafter set forth, the parties hereto agree as follows:

Bellevue Bridal Show shall have sole control over the production, organization, direction, coordination and staging of said Exhibition, including approval of the Exhibitor’s display, merchandise, and services.

Exhibitor hereby rents the space designated by Bellevue Bridal Show for the sole purpose of displaying and promoting merchandise and services during the hours of 1:00 p.m. and 4:00 p.m. of said day. Exhibitor will remove all merchandise and other display no later than 5 p.m. on Sunday January 23, 2022  1-4pm at the sole expense of the Exhibitor and leave the rented space in original condition.

Exhibitor agrees to contribute, and award one door prize valued at a minimum of $50.00 in the form of merchandise or a gift certificate to be exchanged for products or services. Exhibitor is encouraged to participate in the Grand Prize by donating a prize valued at $100 or more.

Booth set up is to be completed by 12:00 p.m. on Sunday January 23, 2022  1-4pm. Any exhibitor failing to complete exhibit set up by 12:00 p.m. on Sunday January 23, 2022  1-4pm will be removed from the exhibit and all prior payments shall be forfeited. Bellevue Bridal Show reserves the right to reallocate space for the maximum enhancement of the overall exhibition.

Exhibitor will not assign its rights hereunder nor sublet its space to any other individual, corporation or entity without the prior written consent of Bellevue Bridal Show. If the exhibitor is unable to participate in the Exhibition, all prior payments made shall be forfeited as liquidated damages to Bellevue Bridal Show.

Participant registration information is to be used solely for the purpose of marketing by the Exhibitor only. Exhibitor may not sell, distribute or trade participant registration information to any other party. Bellevue Bridal Show will make participant registration information available to the Exhibitor within 21 days following the date of the show.

Bellevue Bridal Show is to arrange for the set up of booths with one 8’ table with basic linen at its sole cost, not including electrical. Exhibitor is responsible for providing extension cords and power strips.

Exhibitor hereby agrees to defend, indemnify, save and hold harmless Bellevue Bridal Show, its officers, directors, agents and employees against any claims, losses, damages, expenses (including reasonable attorney and other professional fees) and judgments or actions arising out of any breach of obligation arising from this agreement or from any use of the space rented by the Exhibitor, its agents, employees, customers, guests or invitees.

Bellevue Bridal Show will not be responsible for, and the Exhibitor hereby releases Bellevue Bridal Show and its officers, Directors, agents and employees, from any liability for, the safety of and exhibit or property of any Exhibitor, including but not limited to loss, damage or destruction to such property by reason of theft, weather or any other cause.

Exhibitor hereby accepts liability for any claims arising out of the limitations upon the supply of any product or service, which is presented by the Exhibitor at the Exhibition.

In deference to all Exhibitors, it is agreed that the exhibitor may distribute advertising and promotional materials from its space, but must not distribute any such material in any other location upon the property, nor shall such material be distributed in a manner to create annoyance or disturbance to any other Exhibitor. In the event of complaints under this paragraph, the decision of Bellevue Bridal Show with respect of such complaints shall be binding and followed by the Exhibitor.  Exhibitor may not advertise for any other business other than what is specified within the contract in their rented space. If so, these materials will have to be removed.

Exhibitor represents and warrants that all displays and promotional material to be in good taste and subject to the prior written approval of Bellevue Bridal Show.

Exhibitor will not make use of any public address systems or other sound equipment that will interfere with the activities or displays of other Exhibitors or from the staging of any show.

Exhibitor understands and agrees that Bellevue Bridal Show has the right to rent space to other companies, individuals and organizations engaged in competitive endeavors to Exhibitor.  Bellevue Bridal Show reserves the right to allocate space in such a manner as to produce a balanced show. Booths will be assigned on the basis of availability of space in a particular category and the date the application is received.

If Bellevue Bridal Show is prevented from presenting the Exhibition as herein provided by reason of any act of God, strike, labor dispute, fire, flood, public disaster or any other cause or reason beyond the control of Bellevue Bridal Show, as the case may be such conditions shall be deemed a valid excuse for delay or cancellation in the performance of such obligations at the specified time and place. Bellevue Bridal Show shall have the right, but not the obligation, to reschedule the Exhibit, for another date chosen by Bellevue Bridal Show in its sole and absolute discretion.

This Agreement shall not in any sense be deemed to be or considered to create a partnership or joint venture between the parties herein and neither party shall have the right or authority to bind the other or its representatives in any way. The laws of the State of Nebraska applicable to contracts performed entirely therein shall govern this Agreement. The parties agree that any controversy or claim arising out of this agreement shall be resolved through mediation or as a last resort, through legally binding arbitration. The parties agree that these methods shall be the sole remedy for any controversy or claim arising out of this Agreement and expressly waive their rights to engage in litigation with respect to such disputes.

No waiver by either party hereto of any breech of this Agreement by the other party shall be deemed to be a waiver of any preceding or subsequent breech thereto.

Exhibitor certifies that it is familiar with and understands the rules in participating in the Exhibition, that it assumes all risks in connection with such participation and that it releases and discharges, Bellevue Bridal Show its officers, Directors, shareholders, agents and employees from and against any and all claims, liabilities or damages arising out of the exhibition, except for the intentional or gross negligence of Bellevue Bridal Show.

In the event of default by Bellevue Bridal Show under this agreement the Exhibitor’s sole remedy shall be a refund of all amounts paid by the Exhibitor to Bellevue Bridal Show.  The Exhibitor waives any rights, which it may have to specific performances or damages.
