ACUERDO DE CONFIDENCIALIDAD (ENGLISH BELOW)

SUSCRITO POR ARKANSAS UNITED A QUIEN EN LO SUCESIVO SE DENOMINARÁ “EL DIVULGANTE”  Y POR LA OTRA, LA PERSONA U ORGANIZACION FIRMANDO EL ACUERDO EN SU CALIDAD DE EMPLEADO , CONTRATISTA,  VOLUNTARIO O   SOCIO/ALIADO, A QUIEN EN LO SUCESIVO SE LE DENOMINARÁ “EL RECEPTOR”


DECLARACIONES.

1. EL RECEPTOR únicamente utilizará la información facilitada por EL DIVULGANTE para asuntos relacionados con las actividades y la misión de Arkansas United, comprometiéndose EL RECEPTOR a mantener la más estricta confidencialidad respecto de dicha información, advirtiendo de dicho deber a cualquier persona que tenga acceso a dicha información para el correcto cumplimiento de estas obligaciones. 


2. EL RECEPTOR o las personas mencionadas en el párrafo anterior no podrán reproducir, modificar, hacer pública o divulgar a terceros la información objeto del presente Acuerdo sin previa autorización escrita y expresa del DIVULGANTE.


3. Ambas partes aceptan que la obligación de confidencialidad no se aplicará en el caso de que la información sea del dominio publico en el momento de su suministro al RECEPTOR.

 

En caso de que la información resulte revelada o divulgada o utilizada por EL RECEPTOR de cualquier forma distinta al objeto de este Acuerdo, ya sea de forma dolosa o por negligencia, será sujeto de las represalias que el DIVULGANTE estipule, incluyendo y no limitado a la terminación de la relación con EL RECEPTOR o las acciones civiles o penales que puedan corresponder.


4. Las partes se obligan a devolver cualquier documentación, y, en su caso, las copias obtenidas de los mismos, que constituyan información amparada por el deber de confidencialidad objeto del presente Acuerdo al termino de la relación entre las partes por cualquier motivo.


5. El presente Acuerdo entrará en vigor en el momento de la firma del mismo por ambas partes, extendiéndose su vigencia hasta un plazo de 5 años después de finalizada la relación entre las partes.

El presente Acuerdo se refiere a la información que EL DIVULGANTE proporcione al RECEPTOR, ya sea de forma oral, gráfica o escrita, propiedad de EL DIVULGANTE, de sus Miembros y/o Donantes.

CONFIDENTIALITY AGREEMENT
ENTERED INTO BY ARKANSAS UNITED ("THE DISCLOSER") AND THE PERSON OR ORGANIZATION SIGNING THIS AGREEMENT (“THE RECEIVER”), IN THEIR CAPACITY AS EMPLOYEE, CONTRACTOR, VOLUNTEER OR PARTNER/ALLY

DECLARATIONS

1. THE RECIPIENT will only use the information provided by THE DISCLOSER for matters related to the activities and mission of Arkansas United, the RECIPIENT being committed to maintain the strictest confidentiality regarding said information, warning of said duty to any person who has access to said information for the correct fulfillment of these obligations.


2. THE RECEIVER or the persons mentioned in the previous paragraph may not reproduce, modify, make public or disclose to third parties the information that is the subject of this Agreement without prior written and express authorization from THE DISCLOSER.


3. Both parties accept that the obligation of confidentiality will not apply in the event that the information is public domain at the time of its delivery to THE RECEIVER.

 

In the event that the information is disclosed or used by THE RECEIVER in any manner other than the subject matter of this Agreement, either intentionally or through negligence, it will be subject to consequences that THE DISCLOSER stipulates, including and not limited to termination of the relationship with THE RECEIVER or the civil or criminal actions that may correspond.


4. THE RECEIVER is obligated to return any documentation, and, where appropriate, copies obtained from them, which constitute information protected by the duty of confidentiality object of this Agreement at the end of the relationship between the parties for any reason.


5. This Agreement will be in effect at the time of signature by both parties, extending its validity for a period of 5 years after the end of the relationship between the parties.



This Agreement refers to the information that THE DISCLOSER provides to THE RECEIVER, either orally, graphically or in writing, property of THE DISCLOSER, of its Members and/or Donors.
