OFFER LETTER AS A LIMITED PARTNER IN UNITIASIA PARTNERS PLT.
     
We are very grateful for your interest in participating in the Asean Mall project in Pattani, Thailand.

1. Project background

UnitiAsia Partners PLT (UAP) was offered by Uniti Group (1436) Co. Ltd (UG1436) the owner of the Waqf Asean Mall Investment project in Pattani, to subscribe for 30,000,000 units of new shares issued in UG1436 worth Baht 30,000,000 (RM4,500,000) for a 10% stake in the company's shares.

On the 15th. August, 2019, UAP has paid as much as Baht 1,000,000 (RM150,000) as deposit payment and given time until the 31st. December, 2020 to subscribe to all such shares.

UAP would like to offer you the opportunity to be a limited partner in this Asean Mall project in the form of Waqf Investment (Waqf Istithmari) subject to the terms of the offer as below:


2. Limited Partner Offer Terms

2.1. Contribute a minimum of RM5,000 (1 unit contribution share) or a multiplier of RM5,000 to be recognized as a limited partner.

2.2. Contributions can be made to the following accounts:

2.3. The liability of each partner is limited to UAP's debts, liabilities and obligations are limited to the amount of their partner contributions only including the pro-rata portion of income that has not been segregated by UAP.

2.4. All business and affairs of UAP will be managed by the General Partners honestly, in good faith and in the best interests of UAP.

2.5. The Public Partner shall have the power and authority to perform any act, take any proceedings, make any decision and execute and deliver any instrument, deed, agreement or document required to carry on the UAP business.

2.6. Agree to other terms as contained in the attached Limited Partnership Agreement.

2.7. We hope that the offer as a Limited Partner for this UAP is accepted and agreed by you and if there are no comments it is recommended that you sign this offer letter in and submit to UAP immediately.
