Sepia Coffee Project | REGULATION D Investment
Dear Current and Prospective Investors, 

Thank you for showing interest in Sepia Coffee Project(SCP). 

We just closed a successful investment round on Wefunder raising $124,000! We raised another $36,000 offline via Reg-D and grants awards. In addition to our Highland Park development, we just opened our cafe location at 2831 E Grand Blvd in Detroit's North End neighborhood!

To be fully operational by Summer 2025, we need to raise an additional $175,000 in capital. This includes $40,000 in working capital for the cafe on E Grand Blvd and $135,000 to cover build out costs on the roastery in Highland Park. Grants aren’t guaranteed, so our budget includes the full amount needed.

REVENUE SHARE
  1. We are offering Reg-D investors the following: 
    • Revenue Share
    • 1.5 x payout over four years for investments under $5,000. 
    • 2x payout over four years for investments above $5,000. 
      (payout projections are not guaranteed)
    • Quarterly payout equivalent to 10% of sales revenue. Beginning Q2 '25.
  2. Once an investment is confirmed, we will send investors a DocuSign link to electronically sign contracts.
  3. Investment payments will be sent directly to Sepia Coffee Project.
    • Payment options will include wire transfer, ACH, check or credit card. 
  4. After contracts are signed and payments have been received, SCP's accountants will file a Form-D for all investments as required by the SEC.
EQUITY

In addition to our revenue share campaign, we are now considering equity investments. Several have shown interest in having a greater stake in the growth and success of Sepia Coffee. Upon review, I believe now is the time to consider onboarding a select group of individuals/businesses who understand our mission! For this soft equity round, the minimum capital investment would be $50,000. We have placed a cap of $200,000 on equity investments with up to four new members onboarded(e.g. 2 new members x $100k, 4 new members x $50k).
