Royalty-Free License Agreement       
RecLegal Resources, a non-profit California corporation, doing business as Substance-Free Athletics (“SFA” or “Licensor”) is the owner of the trademarks PROTECT YOUR GAME® and SUBSTANCE FREE ATHLETICS & Design® (the “Trademarks”).

SFA is also the creator and copyright owner of various educational materials (the “Materials”).

In the interest of protecting the Materials and Trademarks and advancing the mission of SFA, SFA allows for the royalty-free use of its Materials and Trademarks, provided that the uses are consistent with the goals and missions of SFA and that those wishing to use the Materials and Trademarks agree to abide by the terms of this Royalty-Free License Agreement (“Agreement”) and confirm their agreement by completing and submitting this form, which goes directly to Licensor.

Licensing Guidelines/Terms

License – Licensor grants to Licensee (the Organization listed above), the royalty-free, non-exclusive right to use the Materials and the Trademarks in connection with the services identified in Licensor’s Trademark Registrations as listed below.

Said grant is effective as of the date this fully completed form is submitted.

Renewal – The Licensee will retain a perpetual right to renew provided Licensee adheres to these guidelines as determined by Licensor. Renewal will be automatic.  

Limits on Use - The Materials and Trademarks are to be used in connection with services relating to discouraging underage substance use and are to be used for purposes related thereto. Licensee forfeits its rights under this License if Licensee uses the Materials and/or the Trademarks in connection with portraying or messaging to the contrary of, or in the absence of, this message.  Loss of right-to-use can occur in Licensor’s sole discretion, including if Licensee uses or permits the use of the Materials and Trademarks in any way that might injure the reputation of Licensor, the Materials, or the Trademarks.

The Materials and Trademarks may be used in conjunction with other campaigns, ideas, and messages that complement the messaging described herein (such as with organizations like MADD), and/or that represent local context (such as school names, geographic locations, team names, etc.) as long as these efforts and messages do not violate the intended use nor other guidelines here in.

Social Media – When Licensee uses the Materials or Trademarks on social media, Licensee agrees to use reasonable efforts to monitor comments posted by third parties relating thereto and appropriately remove or address if problematic in any way as determined by Licensee or by Licensor, which retains sole discretion and final decision-making. 

Confusion - Licensee shall not adopt or use any mark, logo, insignia or design that is, or is likely to be, confusingly similar to or likely to cause confusion, deception or mistake with the Trademarks.

Misuse –Licensor retains sole discretion on what qualifies as misuse by Licensee and misuse may result in but is not limited to a) notification and opportunity to cure, b) notification and request to immediately cease use, c) notification and date by which to cease use. Notification may occur in any current form of communication at the time, e.g., U.S. Mail, phone, email, text message, direct message, etc., and will be deemed to have been received by Licensee if sent to the most recent contact information on file for Licensee.  Licensee may update its contact information by sending a message to info@substance-free-athletics.org.

Sublicense - Licensee is not permitted to sublicense but can direct others to this licensing form/agreement. 

Commercial Use/Profit –In the event that Licensee wishes to engage in any commercial use of the Materials and/or Trademarks, Licensee must contact Licensor with a proposal and terms for such commercial use.  It must be reasonably and mutually agreed upon, or a Licensee’s commercial endeavors are not allowed.

License Terms – These licensing terms may be updated by Licensor from time to time at Licensor’s sole discretion with notice to the Licensee through any current form of communication at the time.

Validity/Quality - Licensee cannot challenge or attack the validity of the Materials or the Trademarks or Licensor’s ownership thereof at any time (during or after use) and acknowledges that Licensee agrees to maintain such quality standards for use of the Materials and Trademarks as Licensor develops and presents, with such standards to be no lower than that represented by the quality seen in materials produced by Licensor to date and going forward.  Quality includes graphic depiction, text/language, message (direct and indirect) and notes/directions for delivering that message. Licensor is sole arbiter of quality.

Indemnification – Although never expected to occur, Licensor hereby agrees to defend and indemnify Licensee, and its and their respective officers, directors, owners, employees, agents, successors and assigns, and hold it and them harmless, from all actions, claims, liabilities, damages, losses and expenses including reasonable attorneys’ fees and expenses, arising out of or in connection with any challenge to Licensee’s use of the Materials or Trademarks provided such use is as permitted by this Agreement and relating solely to the Materials or Trademarks and not to any content or marks as may be added by Licensee.  Licensee shall promptly, after receipt of applicable information, notify Licensor of any claim to which the foregoing indemnity may apply, and, at Licensor’s option, Licensor shall have the right to assume and control the defense of any such claim including full authority to settle.  Licensee shall have the right to retain separate counsel and participate in the defense of the claim at its own expense.  

Licensee hereby agrees to defend and indemnify Licensor, and its and their respective officers, directors, owners, employees, agents, successors and assigns, and hold it and them harmless, from all actions, claims, liabilities, damages, losses and expenses including reasonable attorneys’ fees and expenses, arising out of or in connection with any challenge relating solely to the any content or marks as may be added by Licensee in connection with Licensee’s use of the Materials or Trademarks.

No. 7034816) - Class 41: Educational services, namely, conducting programs for students, athletes, coaches, teachers, and parents regarding the risks of under-age drug and alcohol use.  Class 44: Providing parenting information to students, athletes, coaches, teachers, and parents regarding the risks of under-age drug and alcohol use.

SUBSTANCE-FREE ATHLETICS AND DESIGN (Reg. No. 7003597) - Class 41: Educational services, namely, conducting programs for students, athletes, coaches, teachers, and parents regarding the risks of under-age drug and alcohol use. Class 44: Providing parenting information to students, athletes, coaches, teachers, and parents regarding the risks of under-age drug and alcohol use.
