The HKEX issued a consultation paper entitled “Review of the Environmental, Social and Governance Reporting Guide and Related Listing Rules” last month to continue to tighten ESG reporting requirements for listed companies. The paper proposes mandatory disclosure requirements on ESG governance, board oversight, materiality assessment, target formulation, reporting boundaries and time frames. Subject to responses, the proposed changes will be implemented for financial years commencing on or after 1 January 2020. All issuers listed on the Hong Kong Exchange will be affected by these changes and company directors will have to shoulder greater responsibility.

Are issuers clear about the impact of these proposed changes? How should the Board prepare in advance? Does management understand the gap between the proposed changes and their current reporting practice, and how they should react?

Carbon Care Asia will co-organise a seminar with HKU SPACE to highlight the key points of the proposed changes in order to enable companies to make better preparations. The seminar will examine future trends in reporting approaches as well as major concerns of investors. It will also explain the CDP (formerly the ‘Carbon Disclosure Project’) and the TCFD (Taskforce on Climate-related Financial Disclosures) recommendations to help companies integrate financial impact assessment with quality reporting. Concurrently, an introduction will be made on the 2019 series of the CarbonCare® Label which recognises entity-wide carbon management, and the CarbonCare® ESG Label which commends the best practice in ESG reporting.
