Terms of Service, Annual Agreement, Refund and Return Policy, and App Development Agreement

Introduction
Welcome to ChiroApp, a software application designed to assist in managing healthcare business needs. This agreement ("Agreement") is a legal agreement between you (“User/Customer/Subscriber”) and ChiroApp (“ChiroApp”) that governs your use of the ChiroApp software, and related services (“Services”). By using the Services, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, you may not use the Services.

Use of ChiroApp
You are granted a non-exclusive, non-transferable, revocable license to use ChiroApp for your use in accordance with these Terms of Service.

Prohibited Uses
You may not use ChiroApp for any illegal or unauthorized purpose. You agree to comply with all laws, regulations, and rules in your use of ChiroApp.

Intellectual Property
ChiroApp and its content, including but not limited to text, graphics, logos, images, and software, are the exclusive property of ChiroApp and are protected by copyright and trademark laws. You may not use any content from ChiroApp without the express written consent of ChiroApp.

Disclaimer of Warranties
ChiroApp is provided on an "as is" and "as available" basis. ChiroApp makes no representations or warranties of any kind, express or implied, as to the operation of ChiroApp or the information, content, materials, or products included on ChiroApp.

Limitation of Liability
ChiroApp shall not be liable for any damages of any kind arising from the use of ChiroApp, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

Indemnification
You agree to indemnify and hold ChiroApp, and its subsidiaries, affiliates, officers, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of ChiroApp, your violation of these Terms of Service, or your violation of any rights of another.

Agreement
By using ChiroApp, you agree to the terms of this ChiroApp software agreement. This agreement includes all of the terms outlined in this document.

Refund Policy
ChiroApp does not offer any refunds.

Return Policy
ChiroApp is a digital software product, and therefore cannot be returned.

Cancellation Policy
You may cancel your annual subscription to ChiroApp at any time, but the customer will not receive a refund for the remaining unused period of the annual subscription. Cancellations will take effect at the end of the current billing cycle.

Reporting Errors
Customer agrees to report any errors or defects in the App within a reasonable timeframe, which is estimated to be within 48 hours of discovery. Developer will use reasonable efforts to correct any reported errors or defects.

Free Trial
ChiroApp offers a free, no-risk 30-day trial of the basic ChiroApp software. Customer is required to provide ChiroApp with the needed verbiage for email templates if they wish to have something over the basic verbiage used. ChiroApp will not fully deploy the app until the customer approves the app and email verbiage. Full deployment will allow emails and notifications to be sent. The app is able to be fully used without being deployed, but will not send emails and notifications. The free trial does not include transferring patient information from previous files or software. This will be done free of charge once purchased.
